Over the past 20 years my consistent passion has been to advise and support high-growth tech companies and investors throughout their life cycle, from incubation to exit, and across different geographies and sectors. I have overseen hundreds of deals involving leading tech and fintech players in the UK, Europe, North America, and Asia, leveraging my deep industry knowledge, market insight, and relentless commitment to their success. I have also been recognized as a leading individual in several legal directories, including Legal 500, for my expertise and excellence in venture capital, M&A, emerging markets, and fintech.

Clients I've worked with: Scoro | Rossum | Many Pets | Salesforce Ventures | Bessemer Venture Partners

  • What inspired you to become an emerging companies and venture capital lawyer?

Working with people that challenge the status quo and have an impact drew me to this area of law. That plus, I am the ultimate deal junkie and I love the energy of a fast paced deal environment!

  • What inspires you about working with tech companies?

It is an absolute privilege working with dynamic, optimistic and energetic people who think about the world differently than the majority, challenging the world and themselves to make for a better place.

  • Tell us about one of your mentors.

"The world belongs to the energetic!" is what one of my mentors, friends and favourite people always says and those are words that I live by to this day. Hard work and walking that extra mile is what defines me.

  • If you weren't a tech lawyer, what would you do?

A baseball player (if I could actually play) or a great punk rock drummer (if I was any good) or a full time anthropologist (if only the world appreciated us (because I could count myself as a part time anthropologist now) more)!

  • What is your ideal weekend?

A long country walk across the English countryside ending up in a small and old pub surrounded by my family and friends followed by Fulham FC winning the Champions League final @ Wembley (dare to dream)!

  • Tell us about a favorite client or project.

After more than 20 years in this gig, there are too many favourites! I have to say that there is a special place in my heart however for my clients and deals that are Nordic. Hard work and striving for perfection but at the same time having fun and displaying real humility!

I have always been fascinated by the strength of entrepreneurship and innovation. I have been fortunate to immerse myself within the dynamic and innovative startup ecosystem and guide inspiring entrepreneurs through the good, the bad and the ugly to protect, encourage and support the disruptive technologies they develop and the transformative impact they have.

    • If you weren't a tech lawyer, what would you do?

Finding a suitable use case for my height and stature, whether that be on the rugby pitch or assisting Sunday shoppers with items on the top shelf.

    • What technology are you most excited to see develop?

Innovations in waste reduction, pollution control and other environmental technologies which are critical to addressing climate and environmental challenges (and in supporting my (purportedly) high level of food consumption).

    • What is your ideal weekend?

Walking through my native homeland of the Yorkshire Dales rounded off at a gruff Yorkshire pub with copious amounts of hearty grub.

Because every so often, you get to work with founders and teams that dare to do the things that no one can imagine.

      • What inspired you to become an emerging companies and venture capital lawyer?

      • If you weren't a tech lawyer, what would you do?

I would probably work in sports or go into politics.

      • What do you consider the best innovation since the internet?

The iPhone & mobile broadband (hands down).

      • If you could choose one superpower, what would it be?

I already have one - it's my ability to work from any where, time or place. I think it's one of the reasons (fortunately and unfortunately :-)) that my clients love working with me - they know I have their backs and they can reach me at their most critical moments.

      • What's your mantra?

Don't ask someone else to do something that you don't or wouldn't do yourself.

Many of my clients are based in Europe (particularly France and Switzerland) and I work regularly with my colleagues in Germany, UK and France. • If you weren't a tech lawyer, what would you do?

          Historian or a winemaker.

        • Tell us something we'd be surprised to know about you.

In another life, I spent time in Colombia and the Democratic Republic of the Congo working with the United Nations.

          • Tell us about a favorite book, work of art or piece of music?

Gerald Murphy's "Cocktail" painting located in the Whitney Museum. Growing up, my house and favorite local restaurant had a lot of Jazz Age inspired artwork, just like Murphy's painting, and, fittingly, I have a print of "Cocktail" in my kitchen.

            • What inspires you about working with tech companies?

I love working with women founders, other underrepresented entrepreneurs, and double bottom line companies. People who think differently, and set out to create impact, inspire me.

            • Tell us about a favorite book, work of art or piece of music?

Tomorrow, and Tomorrow, and Tomorrow is a brilliant portrait of two friends who happen to create a successful business. The depth of character development and the way the novel treats coming of age in the technology industry are beautiful.

            • What's the best advice you've ever received?

If you don't ask, you don't get.

I started my career as a technology companies lawyer, but soon joined the startup world and began a 20+ year journey as a business leader running go-to-market, product development and business operations for a series of companies including Yahoo!, Demandforce, Intuit, Logikcull and Zenoti. During that time I led teams through good times and bad, raised money, bought and sold companies. Recently I returned to the firm to lead our Greenhouse program, which provides free personalized business coaching for our seed stage clients.

              • What inspires you about working with tech companies?

Working with tech companies allows us to see into the future and make it happen. Start up teams are the right kind of crazy, and their passion and belief is exhilarating and infectious.

              • What inspired you to become an emerging companies and venture capital lawyer?

Growing up in Silicon Valley, startups were like the local sports teams, and leaders like the star players. I wanted to be a professional in the league.

              • Tell us about one of your mentors.

I was extremely lucky to know Bill "Coach" Campbell from an early age. He inspired me, pushed me, and helped me understand what giving back to the community really meant. Later in my career, I had the privilege of working under Bill at Intuit. Being able to see him work with teams left a mark.

              • Tell us about a favorite client or project.

I enjoy working with companies at all stages, but I have a real affinity for teams of fewer than 10 employees. This is where the culture is established.

              • Where do you find inspiration in life?

Nature, art and the great works of literature.

              • If you weren't a tech lawyer, what would you do?

                • Tell us about one of your mentors.

Craig Johnson, who was the founder of Venture Law Group, was a visionary in innovating around the practice of law and showing what it means to be a trusted advisor to clients. I joined Venture Law Group early in my career, and Craig’s vision continues to influence the way I practice and interact with clients and colleagues.

                • If you weren't a tech lawyer, what would you do?

I also love spending time with my partner, Pedro, and our two kids (Leo and Lucia), as well as mentoring my three older kids as they pursue their careers.

                • What technology are you most excited to see develop?

AI, legal technology and the nexus of the two.

                    • What inspires you about working with tech companies?

It's energizing to work in an industry that is all about innovation and to help investors and founders who are working to make that innovation possible.

                    • Where do you find inspiration in life?

I find inspiration in learning new things. I'm constantly trying to pick up new skills (currently learning to play the guitar and trying to level up my UTSA tennis rating) and love that I am always learning something new in my practice, whether it's about a new product from one of my clients or a novel legal issue presented by developments in technology.

                    • If you weren't a tech lawyer, what would you do?

I'd probably be a nurse or some other profession in healthcare. Prior to making the pivot to law, I was a pre-med undergrad and still find the science and caring aspects of medicine compelling.

                    • What is your ideal weekend?

Snowboarding our local mountain with my partner and kids.

                      • What inspired you to become an emerging companies and venture capital lawyer?

I started my career in Palo Alto, but oddly enough did not plan to focus on startups and VC. After working on a couple of venture financings, though, I was hooked. I love the deep partnership that comes from being closely involved with the founders and rest of the team, all of whom are incredibly dedicated, and value the opportunity to serve not only as legal counsel but also trusted advisor.

                      • What is your ideal weekend?

If I'm around home: a run by the beach or a hike, crossword puzzles, and barbecue with family and friends. I love living in Santa Monica so it can be tempting to stay put, but I also really enjoy getting out of town for short weekend trips all around California.

                      • Tell us about a favorite book, work of art or piece of music.

I have always loved the New World Symphony. I was a violinist ages ago and that was one of the first pieces I played as part of a symphony. I don't listen to classical music often, but that piece will always have a place in the rotation.

                      • What's the best advice you've ever received?

Don't let the perfect be the enemy of the good - great advice in many aspects of life, and very applicable to working with startups.

                        • If you weren't a tech lawyer, what would you do?

I would be a ski instructor or a police detective (or, even better, both if I could spend the winter months away in the mountains!)

                        • Tell us something we'd be surprised to know about you.

Prior to becoming a lawyer, I spent a year and a half working and living abroad in France (Morzine) and Italy (Lake Garda) as a holiday rep and Australia (Sydney) in a restaurant. Despite living in Sydney for 6 months, I am still terrified of the sea…

                        • What is your ideal weekend?

Catching up with family and friends, popping down to the local pub, listening to some live music and finishing off the weekend with a home cooked Sunday roast.

                          • What inspires you about working with tech companies?

I've always been at the forefront of technology, an early adopter at core, often the very first one of my friends to have the latest gadget and test it for them. (Geek much ??) Now, having the incredible privilege to work with those who invents those technologies and allowing to get the earliest of peak into the future is simply the most inspiring thing for me!

                          • Where do you find inspiration in life?

As an extravert, I find inspiration in people, in their energy, in discussing with them, debating and constantly being challenged by new ideas, new paradigm, new views. And of course, in the (almost always) ever loving look of my children!

We have the opportunity to work with some incredible founder teams in the early stages of their company’s growth and join them on their journey.

                            • What inspired you to become an emerging companies and venture capital lawyer?

The level of disruption innovation that technology has produced in the last 15 years and then seeing the emergence of London as a real technology hub with a vibrant ecosystem of creators.

                            • If you weren't a tech lawyer, what would you do?

I’ve no idea whether I’d be any good, but I’ve always been envious of architects. It’s a pipe dream but I'd love to be able to design my own home.

                              Ellen Ehrenpreis

I'm a thinker and a doer. I love to wrestle with problems big and small and devise action plans focused on practical solutions. I bring more than 25 years of experience in the high-growth tech ecosystem. My approach is driven by my experiences as both company founder and consumer of legal services, by my early years as a litigator, and by diverse experiences advising businesses at every stage, along with the executives, investors and advisors involved in those businesses. And at the end of the day, my goal is to deliver solutions at the intersection of good business judgment, common sense and the law. I am passionate about working with clients striving to make a positive impact in the world.

                                • What inspires you about working with tech companies?

Working with technical founders who are trying to do something absurdly difficult and meaningful, I know that when they call me, they already have tens if not hundreds of other challenges they are facing. They aren't calling me so that I can clarify yet another problem, and give them options for how to handle it. In those moments, they need a partner they can rely on -- someone who is decisive, someone who will solve problems they either don't know how or don't have time to solve -- so that they can keep building. Being given that level of trust, by the world's greatest innovators, is why I won't ever quit doing this job.

                                • Where do you find inspiration in life?

I make a concerted effort to spend meaningful time each day in nature. Silence and space, at scale, can unlock a lot.

                                • If you weren't a tech lawyer, what would you do?

I have a background in finance and before I joined Orrick, I'd always planned to move from the law into investing, and had I not ended up practicing this specific type of law, I'd likely have ended up in a venture fund, figuring out how to fund and help the same companies I help now another way.

                                • Tell us something we'd be surprised to know about you.

I grew up the youngest of six kids -- life in the house was trial by fire.

                                • What technology are you most excited to see develop?

We are still so early in the AI revolution, but I cannot wait to see how different the world of medicine will look to my kids as a result.

I work with high-growth companies and investors who love to invest in them. On the company-side, I aim to support entrepreneurs and their teams implement and scale their vision, with a healthy amount of linebacking to anticipate and counsel the various challenges that regularly arise as companies are doing big and bold things. I particularly enjoy teams and investors that are positively transforming how the world works.

                                  • What inspires you about working with tech companies?

I enjoy being part of a team of people that empower the dreamers, the doers, and the bold, and the people that want to invest in those visionaries. I believe that corporate lawyers get to be at the triangle of change with one corner being brains, the other being money, and the other being the lawyers that can help scale and strategize and keep things moving.

                                  • Where do you find inspiration in life?

Connections. Connections with people - both those moments where I get an opportunity to connect with someone (be it a friend, a client, a new person in the community), or those moments where you can help connect someone (including clients!) with another person who will be helpful to them. Connections within space (within a city, trail system, a new way to get from here to there). And connections of process – clients are always helping me better understand how one process can improve the other. Those “ah ha” moments.

                                  • Tell us something we'd be surprised to know about you.

I had the honor of exploring Egypt with Ann Kerr, Steve Kerr's mom (current coach of the Golden State Warriors) and widow to Malcolm H. Kerr, statesman. I received a scholarship in Professor Kerr's name and the experience in Egypt in high school was life changing. So many moments from the trip are vivid and etched in my brain, including Ann Kerr running us confidently jaywalking across busy intersections in Cairo, her heels sinking into the hot melting pavement, introducing us dignitaries across all party lines, and introducing us to villages of Nubians during a Nile boat ride.

                                  • What technology are you most excited to see develop?

The technology and ideas behind reusability, circularity, and what we can do with all the stuff we have created (and continue to create). Said another way, come talk to me about trash, recyclables and the things we throw away, and how we can do more with it for the world and its future. I'm also loving all the self-driving cars in San Francisco (though I personally also love to drive manual, classic cars).

                                  • What is your ideal weekend?

My ideal weekend would be outside and in a bustling house with the doors wide-open. There would be some cooking, friends, kids playing, dog walking, and quiet sitting on a mountaintop.

                                  • If you could choose one superpower, what would it be?

                                      • Tell us about one of your mentors.

The last partner I worked for before joining Orrick as a Senior Associate - he taught me to ask a few important questions to get my priorities in life right (kudos Axel, you are right: "the one thing you can't recycle is wasted time").

                                      • Where do you find inspiration in life?

                                      • If you weren't a tech lawyer, what would you do?

                                      • If you could choose one superpower, what would it be?

As a kid, I preferred Batman, no superpowers, just an amazing array of tech gadgets.

                                        • What inspires you about working with tech companies?

I live vicariously through working with tech companies. I enjoy working with companies that "move fast and break things" because they keep us on our toes. There is never a dull day when working with tech companies.

                                        • What inspired you to become an emerging companies and venture capital lawyer?

I'm a reformed capital markets lawyer -- I used to take a lot of tech companies public during the dot com boom. I think that it is more interesting to act for the companies and investors at the earlier stages of the financing life cycle.

                                        • Tell us about one of your mentors.

Each of my mentors were seasoned lawyers who had lived through prior life cycles of the technology ecosystem and were able to provide perspective on how transactions have evolved over the course of time.

Having a favorite client is like having a favorite child -- that is not possible! They are all favorites. Having a "least favorite client" is another story.

I advise these companies in many facets of their businesses including financings, corporate governance, employment matters, acquisitions, divestitures, licensing and distribution arrangements, and joint ventures and strategic partnerships. I also represent venture capital firms in connection with their investments in early and later-stage operating companies.

                                          • What inspires you about working with tech companies?

I love working with tech and life sciences founders who are developing cutting-edge technologies and therapies that are changing the lives of millions of people, or in the case of pharmaceuticals, sometimes it's just a handful of people ... but those few patients have no other hope. The work that we do for these clients makes all of that possible.

                                          • What inspired you to become an emerging companies and venture capital lawyer?

I've been interested in technology since I got my first Atari 2600 video game system back in 1977! After a brief stint in investment banking, I pivoted and focused my attention on developing a set of skills that would allow me to work with entrepreneurs and venture capitalists to build innovative companies, products, and therapies.

                                          • Tell us about one of your mentors.

I learned a lot from my father, who had a long and successful career as an investment banker and venture capitalist. He was one of the smartest people I have ever known and taught me an important lesson that has guided my life ever since ... if you're not doing something that makes the world a better place, then you're wasting what little time you have here.

                                          • If you weren't a tech lawyer, what would you do?

I would be the oldest player-manager in Major League Baseball history. Given my advanced age and the loss of a step or two, I'd probably have to play first base ... for the Cubs, of course. If I weren't able to pull that off, I think I'd be a venture capitalist.

                                            • What inspires you about working with tech companies?

Our clients constantly challenge and surprise me. What was once a source of stress is now (mostly) an inspiration.

                                            • If you weren't a tech lawyer, what would you do?

Based on the magnitude of the loans I took out for law school, probably a different kind of lawyer.

                                            • What do you consider the best innovation since the internet?

Depending on when you pinpoint the invention of the internet, either the NBA 3-point shot or the sequencing of the human genome.

                                            • If you could choose one superpower, what would it be?

                                            • What's the best advice you've ever received?

Don't go to grad school. My colleagues at my first post-collegiate job were refugees from academia, and when I told them I was planning to get an English Ph.D. they made it their mission to change my mind.

I am a venture capital lawyer and work with startups, investors and other stakeholders in the German and international VC ecosystem on a daily basis. We support our clients from their formation through the various financing rounds (Angel, (Pre-)Seed, Series A, B, C etc.) to a successful exit, but also advise on employee participation/incentive programs, the leap into the United States (e.g., by flip or incorporation of subsidiaries) and generally act as a sparring partner for founders in the realization of their ideas.

                                              • What inspires you about working with tech companies?

To be able to advise such successful technology companies, I have to constantly develop myself to keep up with the rapid advances in the various industries (climate, health, generally AI etc.) and to be a trusted advisor to our clients. I am constantly amazed by the incredible opportunities that technology can offer , which makes it all the more enjoyable to be a part of this progress.

                                              • Where do you find inspiration in life?

I go with Lex Luther on this one: “Some people can read War and Peace and come away thinking it's a simple adventure story. Others can read the ingredients on a chewing gum wrapper and unlock the secrets of the universe.” For me, it's often the little things that inspire me the most, for example when I see how meticulously other people work in their respective professions.

                                              • What technology are you most excited to see develop?

In general, I am really excited about developments in the field of AI - as I am privately friends with many founders in this field, it is always exciting to hear about the latest developments that sometimes go unnoticed by the public. Personally, however, I am even more excited about developments in the field of health tech (because they can improve the lives of many people in the short term) and climate tech (because without developments in this area we will face major problems in the medium to long term).

                                              • Tell us about a favorite book, work of art or piece of music?

I really enjoy reading the books of Rolf Dobelli (The Art of Thinking Clearly, The Art of Acting Smart, The Art of the Good Live).

                                              • If you could choose one superpower, what would it be?

Time travel (although I am familiar with the phenomenon of the butterfly effect).

                                                Kristy Hart

I represent early and growth stage companies as well as investors and venture capital funds on a wide range of corporate transactions throughout their life cycle. I am passionate about helping founders and investors at the forefront of technology drive innovation, and to support them by providing commercially focused advice at the crucial moment as well as every-day moments of their startup journey.

Clients I've worked with: Butternut Box | Connexin | Vitruvian Partners | Sonantic | 9fin

                                                • What inspires you about working with tech companies?

Working with some of the most driven founders who are relentlessly pushing the boundaries and shaping our future is incredibly inspiring and exciting. At the same time, playing a pivotal part in that journey and guiding a founding team through many of their key milestones (from incorporation, through hiring their first employees, closing their first round and beyond) is one of the most rewarding parts of what I do.

                                                • If you weren't a tech lawyer, what would you do?

I would probably be a pilot. The closest I came to "piloting" an in-flight experience was running the first in-flight hackathon (a rapid and collaborative prototyping sprint), Hack Horizon, looking to revolutionise the TravelTech industry while at 40,000 feet above sea level and going at 564 miles per hour on a commercial flight from Hong Kong to London.

                                                • Tell us something we'd be surprised to know about you.

I was a competitive figure skater in a past lifetime. As a longstanding heavy metal fan, my greatest memory was convincing my coach to let me skate my short program to my favourite heavy metal track (admittedly the acoustic version). These days I prefer to glide around on the back of a motorbike.

                                                • What's the best advice you've ever received?

There are no traffic jams on the extra mile.

I've spent my career working for and with startups of all stages beginning with my time selling solid state electric meters in the APAC region, and my role as an associate at a Swiss-based venture fund, before practicing law in the Silicon Valley. My representation of high growth companies and their investors leans on this experience to apply market context to sophisticated financing, acquisition and commercial transactions globally. I also work with some of the world's most important technology companies to help guide their early stage investment processes.

                                                  • What inspired you to become an emerging companies and venture capital lawyer?

As the son of a serial entrepreneur, I early on learned the intense highs and lows of starting companies, and I always knew that I needed to be a part of energy. There is a special thrill and pride that comes from being an advisor to a company from their formation to their exit, living with and guiding the founders through the trials and tribulations that come from taking a raw startup to success. I never forget that a startup is deeply personal for its founders, and I'm honored to share that.

                                                  • If you weren't a tech lawyer, what would you do?

I would have gone to medical school and become an emergency medicine physician. There is something raw and important about being a physician who doesn't know what emergency will arrive at their doorstep next, but who also knows that they will be ready to take care of that emergency because they've prepared for years for each of those encounters.

                                                  • Tell us something we'd be surprised to know about you.

I have a pair of first class seats from a 757 in my office. It even still has the Airfone in the armrest (remember those?).

                                                  • What technology are you most excited to see develop?

I believe that the application of AI to healthcare will fundamentally change how humans live and thrive, and it will do so in ways that we can't yet imagine. I think the benefits will most prominently be seen in parts of the world where putting access to AI's clinical insights in the hands of caregivers to diagnose early and treat patients effectively without the need for expensive equipment like MRI's and CT's.

                                                  • What is your ideal weekend?

A long overnight flight with my wife to an exotic city for a fantastic dinner before waking up at a luxury hotel with a really great breakfast buffet.

                                                  • What's the best advice you've ever received?

                                                    Dolph Hellman

Having practiced transactional law for almost 35 years, I've developed 2 different areas of expertise in the tech and life sciences ecosystem - (i) venture debt and (ii) VC fund formation. In terms of venture debt, I've been assisting tech and life sciences companies at all different stages of growth with venture debt transactions since the late 1990's when venture debt first become available to start-up companies. Over the years, I worked on hundreds (if not thousands) of such financing transactions. In terms of VC fund formation, I've been assisting sponsors of VC funds - and in particular emerging managers - in connection with VC fund formation for over 15 years. I really enjoy working with founders and venture capitalists because it allows me to be more than just a technical lawyer. Instead, it allows me be also be a trusted advisor which is very rewarding. If you're looking for a trusted advisor to assist you with either venture debt or VC fund formation, then I'm your guy!

                                                    • What inspires you about working with tech companies?

I really enjoy working with founders and emerging managers in the tech and life sciences space since I know that I am really adding value to their companies/VC funds. Often the advice and guidance I provide can mean the difference between success and failure, so I take on this responsibility very seriously. I also think it's cool to watch many of our clients evolve from being a team of just a few people to multi-national entities with thousands of employees.

                                                    • If you weren't a tech lawyer, what would you do?

Maybe a lawyer in the entertainment industry. In particular, I find the music industry (and in particular the area of music law) to be very fascinating.

                                                    • What technology are you most excited to see develop?

Autonomous vehicles. Once that technology is perfected it will be a real game changer in terms of mobility.

                                                    • What's the best advice you've ever received?

Don't put off to tomorrow what you can accomplish today. Procrastination is a terrible habit - particularly for a lawyer to have - so I try to stay on top of my work projects as much as is humanly possible.

I love seeing such passionate, engaging, brilliant minds working to solve some of the world's biggest problems. I love that each person can take something they're interested in—from the environment to medicine to computers to so much more—and use technology to find innovative solutions to everything you can imagine.

If I wasn't a tech lawyer, I'd either be a doctor or a primary school teacher. I love science and medicine – I worked in clinical research for years before law school. Teaching/mentoring is another huge passion of mine and I volunteer regularly teaching English as a foreign language. I'm honestly not sure how I'd choose between the two.

My ideal weekend would consist of getting coffee and pastries with my husband and taking our two adorable rescue dogs to the park, binging a new tv show, seeing friends or family (especially our cute nieces and nephews), reading a good book, and cooking a good homemade dinner. It's the simple things for me.

The best advice I've ever received was from a mentor when I was a young lawyer. He told me that we should always, no matter what, view the glass as half full and not half empty. Optimism is contagious in every aspect of our lives and so very important for entrepreneurship. It strikes me that the best entrepreneurs and investors have this uncanny ability to be realists and optimists at the same time.

                                                        • What inspired you to become an emerging companies and venture capital lawyer?

I've always thought of myself as an entrepreneur, but I never had the risk tolerance early in my career to make the leap my clients make. I draw inspiration from the incredible entrepreneurs I work with every day who were able to take that leap of faith, and also the sharp, sophisticated and talented investors who support them. My life may not have taken me to a place where I could grow one or two big ideas. Instead, I get to play a small role in the growth of hundreds of great ideas.

                                                        • Tell us something we'd be surprised to know about you.

Out of high school I was heading full steam ahead towards a major in physics before making an enormous life pivot early on in my college career at Middlebury. I still love math and physics. I enjoy applying those skills to complex cap tables and funds flows.

                                                        • What is your ideal weekend?

Any weekend is pretty great when I'm with my family ski touring or riding our bicycles. If I can throw in an early morning gravel bike ride, it's perfection.

I believe in the power of relationships to solve problems and the democratization of access and agency. Both drive the innovation economy. The people around me. We operate in a whirlwind of an ecosystem that changes daily, but there is always a human element to the work we do. The power of relationships is what it is all about.

The constant drive to push boundaries and create new systems that re-define industries is incredible.

Family and friends who challenge me to be my best self.

Always take the opportunity to find out how much you don't know.

I love working with entrepreneurs and innovators, because - like me - they are not afraid to tackle big problems and forge new paths. I relate strongly to this mindset, because I forged a non-traditional path to where I am now, having served as a US naval officer, as a lawyer in both boutique and large international law firms, and as an in-house lawyer and executive at a software and two different biotech companies (co-founding one of them). This experience - especially having been a “consumer of legal services” myself - gives me a unique, practical perspective that my startup clients seem to value.

There is no way I can pick a single favorite client, but the clients who inspire me the most tend to be the ones pushing technological boundaries the furthest. For example, I have clients working on: data storage on DNA; nuclear fusion; novel antiviral therapeutics; and stroke recovery devices. This is what gets me out of bed every morning!

I would probably be an entrepreneur trying to solve big problems in biotech, arts & culture, and/or athletic performance.

I am excited to see how scientists and technologists apply artificial intelligence to the discovery and commercialization of new therapeutic models and applications.

                                                                    • Where do you find inspiration in life?

I'm often amazed how challenges that people have fought against for centuries disappear through the application of quite simple technological solutions.

                                                                    • If you weren't a tech lawyer, what would you do?

As I’ve coached inner-city wrestlers up to the top of Half-Dome many times and other youth sports for over 25 years, I’ve also counseled many clients through complicated cross-border transactions involving transactions with investors or businesses in Asia, Europe, Africa and the Unites States. While I love working with entrepreneurs focused on education services and technology, my clients span industries from AI, semiconductors, robotics, (SAAS) software, ecommerce, life science (biotech), media, food, retail and even government. I have also been active in the Bay Area community - from starting a nonprofit focused on youth development, Beat the Streets Bay Area, to serving on a number of educational nonprofits boards of directors.

One transaction was assisting Applied Ventures in its large investment in a joint venture with a Korean conglomerate of a new semi-conductor business to be based in Georgia. After months of negotiations, we were able to assist in the closing of the transaction and the success of the new venture.

                                                                        • Where do you find inspiration in life?

As Head Wrestling Coach at Galileo High School, a school that had a 50% graduation rate I dedicated often 30 plus hours a week to help these young men and women to accel in their lives and academics. I was most proud that all of the many kids I coached graduated and most went on to College and that the even the current wrestling and football coaches at Galileo are students I coached.

I became and ECVC lawyer so that I could help founders and investors make the strategic decisions needed for new technology and life sciences companies to flourish. I believe this can be done only if these founders and investors understand the legal risks of the decisions they need to make and receive practical, business-oriented advice in the process - not necessarily to eliminate or minimize risk, but rather to determine what risks are worth taking.

I’ve been representing Cerba HealthCare for several years, a European leading company in pathology, imaging and outpatient diagnostic.

Working with tech companies is inherently about people - the founders and team members that we work with so closely throughout the company's life cycle, the investors who support the companies with capital and counsel, and the customers who benefit from solutions that the companies are bringing to life. I love being part of the process of nurturing both the companies and the teams that support them, throughout the entire journey of each company.

                                                                                                        • Where do you find inspiration in life?

I find inspiration in so many different places - a sunset on a mountain vista, a baker who has perfected his craft, a new city to explore - full of history and culture, and people, both familiar and new, to go on adventures with. We live in an amazing world filled with people creating new and exciting things all the time. It would be difficult to not be inspired.

                                                                                                        • If you weren't a tech lawyer, what would you do?

If I weren't a tech lawyer, I'd have a number of options to consider. I might embark on becoming a teacher or maybe open a cookie shop. I might try traveling for a while to explore the world or even go back to my roots and pick up tour guiding again, escorting travelers to our beautiful national parks. I would also consider honing my non-legal writing skills and put prose and story to paper.

                                                                                                        • Tell us about a favorite book, work of art or piece of music.

There are hidden treasures of knowledge scattered throughout the book, along with a healthy portion of humor. I highly recommend that everyone pick it up and keep a copy in their home so they can read and re-read it over the years.

Achieving successful results in this area requires a thorough understanding of the operational and financial aspects of my clients’ businesses. The opportunity to learn about the architecture and strategy behind each client, and then apply that knowledge to negotiations in order to fit the needs of the business, is something that I find enjoyable and satisfying on a daily basis.

Years later, after graduating from University of Maine and later Vanderbilt Law School, I returned to the closest city to my family and friends in Maine, landing in Boston. My experience has covered a wide array of sectors and practices, from capital markets, lending, private equity and venture backed financings, to first-in-kind renewables, energy and infrastructure deals. It's an opportunity every day to be working with entrepreneurs and investors to bridge gaps and help usher in positive, progressive outcomes across sectors.

Founder paths aren't all identical and, in fact, the individualistic nature of each gives us, as counsel, the chance to learn more about the goals of the company by way of gaining a personal relationship with those that created it.

                                                                                                                              • What inspired you to become an emerging companies and venture capital lawyer?

While both those facts are true, I've come to appreciate the greater picture of the field—we're supporting our clients as they create technology that advances progression across sectors, creates jobs and inspires others to do the same in their space.

In addition to being one of the most analytical, numerate negotiators I have ever seen, he had a gift for “dumbing” things down into actionable plans: the goal on every deal was to develop unexpected alternatives for the client. After one particularly difficult deal where he found a compromise no one else saw, we joked that his tombstone should read: Here lies X. He ran out of alternatives.” He is a practiced listener who continues to outperform expectations by generating options. When things seem difficult, his uncommon pursuit of Plan Bs inspires me.

                                                                                                                                      • What inspired you to become an emerging companies and venture capital lawyer?

I am drawn to the world of emerging companies and startups because I am passionate about entrepreneurship and innovation. I find it inspiring to work with early stage companies and help them navigate their legal complexities. I enjoy the intellectual challenge of the field, as it often involves complex legal structures. It's also a lot of fun because the founders are often personally involved and we can solve complex issues directly and quickly.

Before joining Orrick, I served as the Associate General Counsel at MasterClass, where I provided legal and strategic counsel on corporate and equity matters, BD and partnerships, product development, content and production, marketing, IP, and data privacy. Leveraging a unique professional background, I am a trusted advisor to founders and the “first call” as outside general counsel to startups, from formation to exit.

In addition to straight equity financings, I frequently work on convertible instruments and venture debt warrants, which I find particularly interesting due to their technical nature.

I am passionate about advising emerging companies through all stages of growth as it allows me to not only advise on corporate law aspects or on M&A or financing projects but it requires a more “holistic” approach helping clients with respect to all kinds of legal matters, almost serving as an “outside general counsel”.

                                                                                                                                            • If you weren't a tech lawyer, what would you do?

As I have already spent my early youth reading John Grisham novels and always wanted to become a lawyer, I would probably still be in the legal industry in another position if I wasn’t a tech lawyer.

                                                                                                                                            • What is your ideal weekend?

Working with them to best navigate complex regulation and applying old law to new concepts is very rewarding.

                                                                                                                                                • If you weren't a tech lawyer, what would you do?

I used to do a lot of refereeing when I was younger (given I was so more at actually playing football). I still do it from time-to-time and learn new insults every time!

Clients I've worked with: Atomico | Systemiq Capital | Headline | TopHat | TerraPay

I love the optimism and collaboration that is (more often than not) a characteristic of emerging companies/venture capital work. Legal negotiations tend to be less of a zero-sum game and more of a case of "how can we set this company up to be as successful as possible for the future?". I find that dynamic incredibly energising.

                                                                                                                                                  • If you weren't a tech lawyer, what would you do?

The book introduces the reader to what's interesting about the trees that you'd encounter if you walked down a typical street in the Bay Area.

It is exciting to work with interesting people solving some of the most complex (and fun) problems in the world.

Starting out in my legal career, I was lucky enough to get exposed to some of the world's leading startups and tech companies. I was amazed by the way in which founders could identify a problem, come up with an innovative solution, bring that idea to life, get people excited about their business and grow it into something meaningful.

                                                                                                                                                      • If you weren't a tech lawyer, what would you do?

I think it is an exciting sector with many applications across training, entertainment, business and other areas.

There is always another way to look at a problem - you may not be able to see it but others might, so surround yourself with good people that you trust and ask for help when you need it.

I worked with a visionary founder who had the goal to create a community in which people with disabilities could lead mobile and independent lives. Having the opportunity to be a part of that journey was inspiring and challenged me to support others driving profound change.

Craig was a great business-savvy lawyer and a fabulous networker. He was also kind and emphasized fairness and egalitarianism. He taught many of us how to be excellent technology lawyers, and showed that you can excel and succeed while helping to support and advance everyone around you.

It's an epic story about India's independence and partition, with lots about politics and economics of the time, interlaced with a family story about wonderfully drawn characters trying to find happiness. Seth is a virtuoso with language (see also his novel A Golden Gate, written entirely in sonnets!). I also enjoy a good spy thriller a lot!

Before law school I worked at a strategy consulting firm, where my mentor told me that our job was to make our client's jobs easier, and that my job as a junior consultant was to make his job easier. The same is true in part for lawyers--our job is to help our clients navigate legal challenges large and small. Doing this well requires understanding---what is the client's situation, what is the context of the question for which they're asking for help, what are the obstacles the client will face? And then finding the best solutions for that situation.

I always recalled that what he would say in the first 5 minutes of the meeting would take the others 2 hours to arrive to the same conclusion for themselves. In which they would of course plant the flag on the moon. Acumen is something that is built, not bought.

I regularly assist tech companies at any stage of development and investors in investment transactions, bridge investment rounds, exits and corporate reorganizations, as well as advising companies on corporate governance issues and on the day-to-day management of their businesses.

I seek out people who tackle hard problems with integrity, persistence and creativity. For more than 25 years, I have represented high-growth technology companies and their investors. I have served on, and counseled, the Boards of many impactful companies — public, private, for-profit and non-profit. I have led legal teams that have successfully completed hundreds of financings (seed, VC and PE), public offerings and numerous mergers, acquisitions and other strategic transactions. For more than a decade, I have been the CEO of a multinational business. I will use this experience to deliver practical solutions to your legal and business problems.

Many aspects of this practice were exciting to me, but one source of inspiration was my time working on fintech matters at the Federal Reserve Bank of New York. I always enjoyed meeting founders at industry events and having the chance to learn about different business models and their unique strategic challenges.

My family’s work in independent film has given me some exposure to IP issues in the film and music industries. I think that would be an interesting area of law to practice.
