Larry Kane

For over 25 years, I’ve been coaching founders and investors in reaching their potential, from formation through a wide array of complicated partnerships, financings (equity and debt) and M&A transactions. As I’ve coached inner-city wrestlers up to the top of Half-Dome many times and other youth sports for over 25 years, I’ve also counseled many clients through complicated cross-border transactions involving transactions with investors or businesses in Asia, Europe, Africa and the Unites States. While I love working with entrepreneurs focused on education services and technology, my clients span industries from AI, semiconductors, robotics, (SAAS) software, ecommerce, life science (biotech), media, food, retail and even government. I have also been active in the Bay Area community - from starting a nonprofit focused on youth development, Beat the Streets Bay Area, to serving on a number of educational nonprofits boards of directors.

Clients I've worked with: Applied Ventures | eGym Gmbh | IAC (Interactive Corporation) | Semafor | Sol-ti | Yellowbrick | University Ventures

  • Tell us about a favorite client or project.

I enjoy helping clients on complicated transactions across difficult and complex legal issues. One transaction was assisting Applied Ventures in its large investment in a joint venture with a Korean conglomerate of a new semi-conductor business to be based in Georgia. After months of negotiations, we were able to assist in the closing of the transaction and the success of the new venture.

  • Where do you find inspiration in life?

While I desire to commit 100% effort in my endeavors, giving back to my community and helping others reach their goals is critical to me, especially youth. As Head Wrestling Coach at Galileo High School, a school that had a 50% graduation rate I dedicated often 30 plus hours a week to help these young men and women to accel in their lives and academics. I was most proud that all of the many kids I coached graduated and most went on to College and that the even the current wrestling and football coaches at Galileo are students I coached.

      • What inspired you to become an emerging companies and venture capital lawyer?

I became and ECVC lawyer so that I could help founders and investors make the strategic decisions needed for new technology and life sciences companies to flourish. I believe this can be done only if these founders and investors understand the legal risks of the decisions they need to make and receive practical, business-oriented advice in the process - not necessarily to eliminate or minimize risk, but rather to determine what risks are worth taking.

I advise disruptive technology companies at all stages of their life cycles as well as the investors and acquirers who invest in and acquire these companies. I do whatever it takes (within the law of course!) to help my clients achieve their objectives and I view myself as successful when my clients are successful. I counsel my clients on venture capital financings, mergers and acquisitions, formations, public offerings, corporate governance, SEC reporting and compliance and other strategic matters. I represent both public and private companies in a wide range of industries, including autonomous vehicles, artificial intelligence, software, consumer products, fintech, cryptocurrency, space, cleantech, life sciences, and digital media. I began my legal career in the high growth tech ecosystem almost 20 years ago in Silicon Valley and I'm fortunate enough to work with innovative clients in SoCal, Silicon Valley and all around the world.
