Dr. Timo Holzborn, Partner in Orrick’s Munich office, is a member of the Business Unit Corporate/Practice Group Capital Markets and has been advising clients regarding capital markets, banking and financial law for more than 10 years. He also advises in the fields of investment (funds) law, corporate law (incl. M&A) and carbon trading. He is a certified lawyer for banking and capital markets law.
Timo Holzborn focuses his practice on transactions with banks and listed as well as private companies.
He advises banks, companies and asset managers on financial transactions, takeovers, mergers, squeeze-outs, IPOs, as well as in the area of corporate governance and compliance (incl. bank regulatory). He has special knowledge in the field of (renewable) energies/carbon trading, banking, fund structuring and insurances as well as in technology.
For instance, he advised UK Registrar Capita on the merger of TUI AG with TUI Travel PLC, has accompanied the issue of non-equity and equity instruments of various issuers (e.g. German Pellets GmbH) and is involved on a regular basis in the advice of both banks and borrowers in finance transactions.
Before joining Orrick in 2012, Mr. Holzborn worked for several international law firms.
After his bank apprenticeship Timo Holzborn studied law in Bonn and then worked as a lawyer for Deutsche Börse AG in Frankfurt in the areas management board, securities admission, takeover commission and legislative procedures. In addition to his work as a lawyer since 2002 Timo Holzborn has also gained extensive experience as a visiting lecturer at Düsseldorf University, the Frankfurt School of Finance & Management and during conferences and seminars. He is the publisher of a prospectus law commentary and author of several publications on corporate and capital markets law, e.g. “Handbuch börsennotierte AG” and “Spindler/Stilz Kommentar AG” (Handbook on Listed Stock Corporations, Spindler/Stilz Commentary on Stock Corporation Act).
