Orrick's U.S. Structured Finance group has played a significant role in the global asset securitization market from its very beginnings. In 1977, we represented Bank of America in the first public offering of non-agency mortgage pass-through certificates. Since then, we have continued to advise on the industry's most innovative transactions and significant regulatory reform measures.

Our team is a structured finance powerhouse with the bandwidth to take bespoke approaches to the structuring, execution, and sale of commercial mortgage-backed, residential mortgage-backed, and asset-backed securities, as well as CLOs, repackagings, resecuritizations, and other financings.

We are recognized as an established player in structured finance by national and international legal directories. Our securitization team has consistently ranked among the top issuer's and underwriter's counsel over the past decade, according to Asset-Backed Alert.

But what sets us truly apart is our commitment to client service and legal innovation. In recent years, we helped our clients structure the first oil & gas royalty securitizations ever to close in the U.S., helped MOBI’s FSSC working group to develop blockchain standards for the auto market, advised on the securitization of musical catalogs which includes copyrights, trademarks, names and other income streams, and developed a hedging instrument with Microsoft that shifts the risk of price variability in sustainable energy for corporate power purchasers to third parties. But we’re also proactively streamlining processes through creative staffing, including at our Global Operations and Innovation Center.

In Europe, our market-leading team operates at the center of regulatory change in the European banking markets – often influencing policy and working directly with regulators. For example, we helped draft French legislation that allows foreign and alternative capital providers to make loans in France and assist European banks in reducing their non-performing loan exposure through novel structures. In addition, we have pioneered the Italian mini-bond market to facilitate access to the capital markets by Italy's medium-sized businesses.

Our multidisciplinary approach, involving lawyers proficient in securitization, securities law, investment funds, tax, real estate, commercial law, banking, bankruptcy, and ERISA, enables us to provide our clients with sophisticated legal work on their most complex and challenging transactions.
