Orrick Advises French Industrial Group Nexeya on Two Key Strategic Transactions

April.19.2019

Orrick’s Paris team advised French industrial group Nexeya on two key strategic transactions designed to refocus the company’s development: the creation of Hemeria, a wholly owned subsidiary to further develop the company’s space activities, including nanosatellites and sovereign defense activities, and the divestiture of the majority of the company’s non-space activities to German aerospace company Hensoldt.

Based in Toulouse, Nexeya designs, produces, and supports test and integration solutions, space systems, mission management systems, and power conversion solutions.

These two transactions are subject to regulatory approvals and the ongoing consultation procedure of the representative bodies. Completion is expected in the third quarter of 2019.

The Orrick team advising Nexyea included Jean-Michel Leprêtre, Dimitrie Ramniceanu, and Paul Bignebat for M&A aspects; Charles Briand and Rudy Marouani for tax law aspects; Hélène Daher and Léo Theillac for employment law aspects; and Patrick Hubert and Malik Idri for antitrust aspects.
