Orrick Advises Dave on SPAC Merger with VPCC

Orrick advised Dave, a banking and personal finance app, on its business combination with VPC Impact Acquisition Holdings III, Inc. (NYSE: VPCC), a special purpose acquisition company sponsored by Victory Park Capital. The combined company, with a pro forma, fully-diluted equity value of approximately $4 billion, changed its name to “Dave Inc.” and its Class A common stock and public warrants begin trading on the Nasdaq Global Market under the symbols “DAVE” and “DAVEW,” respectively, on January 6, 2022.
