Hari Raman, a partner working across our Bay Area offices in our Corporate group, is a member of our Global Mergers & Acquisitions and Private Equity practices.

Hari focuses on the technology industry. He centers his practice on leading companies in core technology markets through all aspects of the M&A process. By virtue of his focused industry experience, Hari understands the unique issues, deal terms and trends at play in technology M&A, allowing him to optimize efficiency, transaction execution and results for his clients.

Hari advises public, private, emerging and late-stage technology companies in domestic and cross-border M&A, majority/minority investments, restructurings and general corporate matters. He works closely with serial acquirers implementing their buy-side M&A strategies, and with venture-backed companies, founders and investors in M&A exits and other liquidity transactions.

Hari has also previously worked in Asia and the Middle East on complex, cross-border M&A, and leverages that experience in leading tech-focused M&A transactions across the globe, including China, India, Israel and the United Kingdom.

Prior to joining Orrick, Hari was an associate at Gibson, Dunn & Crutcher LLP. He is qualified to practice in both California and New York.

    • Prosper Marketplace, Inc., a VC-backed peer-to-peer lending marketplace, in its $5 billion funding arrangement with a consortium of institutional investors led by New Residential Investment Corp, Jefferies, Third Point and a unit of Soros Fund Management.
    • Silver Bay Realty Trust Corp. (NYSE: SBY), a NYSE-listed single family home REIT, in its $1.4 billion sale to Tricon Capital Group Inc. (TSX: TCN).
    • Founder and Chairman Michael Yufeng Chi, in his $900 million going-private acquisition of Perfect World Co., Ltd. (NASDAQ: PRWD), a NASDAQ-listed internet gaming company based in China.
    • Thales S.A. (Euronext Paris: HO), an international aerospace, defense and security company, in its $400 million acquisition of Vormetric, Inc., a privately held, VC-backed provider of data protection solutions based in Silicon Valley.
    • Dole Food Company Inc. (NYSE: DOLE), a NYSE-listed producer, marketer and distributor of fresh fruits and vegetables, in its $1.7 billion sale of its worldwide packaged foods and Asia fresh businesses to ITOCHU Corporation (TYO: 8001), a diversified Japanese conglomerate.
    • IronPlanet Holdings Corporation, a privately held, VC-backed online marketplace for used heavy equipment, in its $758 million sale to Ritchie Bros. Auctioneers (NYSE & TSX: RBA).
    • A buyer consortium led by Chairman and Chief Executive Officer Mr. Yuqiang Deng in its $155 million going-private acquisition of Sungy Mobile Limited (NASDAQ: GOMO), a NASDAQ-listed mobile internet products and services provider based in China.
    • Thales S.A. (Euronext Paris: HO), an international aerospace, defense and security company, in its up to $215 million acquisition of Guavus, Inc., a privately held provider of real time big data analytics based in Silicon Valley.
    • The Special Committee of Sky-mobi (NASDAQ: MOBI), a mobile application platform and game publisher based in China, in its going-private acquisition.
    • Prizm Payment Services Pte. Ltd., a privately held ATM services company in India, in its sale to Hitachi India, a wholly owned subsidiary of Japanese conglomerate Hitachi, Ltd. (TYO: 6501).
    • VTech Holdings Limited (HKSE: 303), a Hong Kong Stock Exchange-listed global supplier of electronic learning products, in its $72 million two-step merger with Leapfrog Enterprises, Inc. (NYSE: LF), a NYSE-listed educational entertainment company.
    • Humble Bundle Inc., a privately held, VC-backed digital storefront for video games, in its sale to Ziff Davis, a subsidiary of NASDAQ-listed J2 Global, Inc. (NASDAQ: JCOM). 
    • Twist Bioscience Corporation, a privately held, VC-backed company specializing in DNA synthesis, in its cross-border acquisition of Genome Compiler Corporation, an Israeli-based private company providing software for genetic engineers and molecular and synthetic biologists.
    • Sidecar Technologies, Inc., a privately held, VC-backed provider of ride-sharing and business-to-business delivery services in its sale of certain assets to NYSE-listed General Motors Co. (NYSE: GM).
    • Checkout 51 Inc., a private digital and mobile coupons distributor based in Toronto, Canada in its cross-border sale to News America Marketing (NAM), a subsidiary of NASDAQ-listed News Corp. (NASDAQ: NWS).
    • Chatter Commerce Inc., the privately held maker of mobile shopping keyboard ShopChat, in its cross-border sale to Viber Media, an Israeli messaging application company, and Rakuten Inc. (TYO: 4755), Viber’s Japanese e-commerce parent company.
    • BandPage, Inc., a privately held, VC-backed company producing software applications for musicians, in its sale to YouTube, a subsidiary of Alphabet Inc. (NASDAQ: GOOG).
