Our Structured Finance team is ranked among the top issuers’ and underwriters’ counsel by Asset-Backed Alert (2010-2016) and Commercial Mortgage Alert (2014-2016). We have played a significant role in the global structured finance market since 1977, and over the last four decades we have taken a leadership role advising on the most innovative transactions and representing the industry on the most significant regulatory reform measures. Our Structured Finance practice includes capabilities throughout Europe and in Asia, representing clients on structured and other debt financings.

Over the past three years, our Structured Finance team has counseled clients on nearly 500 financings worldwide, with an aggregate value of over $252 billion. We act as counsel for numerous major issuers and underwriters in the structured finance market, and we have a leading presence in CMBS, RMBS and CLO transactions; marketplace lending, credit cards, auto loan/lease and dealer floorplan transactions; and tender option bonds. We pioneered the innovative mini-bond structure in Italy and are also pioneering the securitization of a wide range of esoterics, including tax liens, Property Assessed Clean Energy (PACE) liens, solar and renewable energy receivables, lottery receivables, and structured settlements. In France, we have advised on many groundbreaking transactions in the area of covered bonds, corporate structured bonds and the establishment of dedicated origination and refinancing platforms. We also participate in drafting securitization and structured finance legislation and regulations in France. We also regularly represent clients globally on derivatives transactions across asset classes, including interest rate, foreign exchange, credit, commodity and equity products;and on futures and swap clearing arrangements, among other sophisticated instruments.

For all products and transactions, we help our clients conduct their businesses and design their financial products to comply with the broad spectrum of governmental regulations that might affect them, including Reg AB II, credit risk retention rules, securities law matters, rules promulgated under the Dodd-Frank Act and rules governing permissible bank transactions and any other applicable regulatory requirements.
