Niki Fang is a partner in Orrick’s Capital Markets practice.
Niki concentrates her corporate practice on representing issuers and underwriters in public offerings and capital markets transactions. Niki also regularly counsels public and late-stage private companies on securities law compliance, disclosure matters, SEC reporting obligations, corporate governance and stock exchange listing obligations. In addition, Niki’s practice includes venture capital financings and advising start-up companies on general corporate matters. She represents a wide range of technology and life sciences companies, from privately held start-ups to publicly traded corporations.
Prior to joining Orrick, Niki was at Fenwick & West LLP and Davis Polk & Wardwell LLP.
Matthew Gemello, a corporate partner in the Silicon Valley office, is a member of Orrick's M&A and Private Equity group.
A seasoned deal lawyer, Matthew guides global technology companies and their financial sponsors through transformational domestic and cross-border transactions.
Matthew leads our global Corporate Business Unit and our global M&A and Private Equity practice.
Matthew has been recognized as a leading lawyer by Legal 500 and Super Lawyers Northern California, and he was selected by the San Francisco and Los Angeles Daily Journal as one of the top 10 Innovative Corporate Lawyers in California.
Matthew recently advised on the Clover Health de-SPAC transaction, and is leading our teams on four other active confidential de-SPAC transactions.
Hari Raman, a partner working across our Bay Area offices in our Corporate group, is a member of our Global Mergers & Acquisitions and Private Equity practices.
Hari focuses on the technology industry. He centers his practice on leading companies in core technology markets through all aspects of the M&A process. By virtue of his focused industry experience, Hari understands the unique issues, deal terms and trends at play in technology M&A, allowing him to optimize efficiency, transaction execution and results for his clients.
Hari advises public, private, emerging and late-stage technology companies in domestic and cross-border M&A, majority/minority investments, restructurings and general corporate matters. He works closely with serial acquirers implementing their buy-side M&A strategies, and with venture-backed companies, founders and investors in M&A exits and other liquidity transactions.
Hari has also previously worked in Asia and the Middle East on complex, cross-border M&A, and leverages that experience in leading tech-focused M&A transactions across the globe, including China, India, Israel and the United Kingdom.
Prior to joining Orrick, Hari was an associate at Gibson, Dunn & Crutcher LLP. He is qualified to practice in both California and New York.

Stephen Thau is a partner in Orrick’s Technology Companies Group. He is a strategic advisor to life sciences and technology companies, guiding them through various milestones of their life cycle.
Stephen’s practice focuses on the representation of life science, medical device, health IT, and other technology companies in transactional matters, including public and private financings, licensing, collaborations and strategic alliances, and mergers and acquisitions. He also represents venture capital firms in public and private financing transactions.
Stephen has served as a member of the Board of Tech Council of Maryland, the leading technology and life science association in that state, and of BayBio, Northern California’s leading life sciences association. He is a frequent speaker on venture capital financings and served on the faculty at the 2005 and 2007 Emerging Entrepreneurs workshops at Stanford University.
Prior to joining Orrick, Stephen was a partner at Morrison & Foerster, Venture Law Group and Heller Ehrman. He began his legal practice as a litigator, focusing on securities and intellectual property. He also served as a law clerk to the Hon. Vaughn R. Walker in the United States District Court in the Northern District of California. Stephen graduated Order of the Coif from Stanford Law School, where he was managing editor of the Stanford Law Review, and graduated magna cum laude from Harvard College in Biology.
Albert Vanderlaan is a partner in Orrick’s Technology Companies Group. He works with public and private companies, venture capital firms and investment banks focused on the life sciences and high-growth technology sectors.Albert is involved in a broad range of corporate legal engagements for high growth technology companies, including venture financings, public offerings, private and public company securities law compliance matters, de-SPAC transactions, public company disclosure obligations, mergers and acquisitions and COVID-19 related matters (including public company disclosure obligations and Paycheck Protection Act eligibility and compliance matters) . He also regularly advises private and public companies and their board of directors on corporate governance issues. Albert's clients include private and public companies in the life sciences (including, among others, immuno-oncology, gene therapy, restorative cell therapy and medical device companies), real estate, finance, automotive and Internet related industries. He also represents underwriters in initial public offerings, follow-on offerings and PIPE offerings and venture capital firms in a variety of investment transactions.
