She advises investment banks, broker-dealers, hedge funds and other financial institutions on legal issues related to the purchase and sale of domestic and international par and distressed assets, including bilateral and syndicated loans, loan participations and derivative structured products. Amy also works with clients to structure deals involving preference, administrative and unsecured trade claims and assists clients in enforcing their rights in the bankruptcy case after the claims are purchased. She represents buy side and sell side clients in connection with private transfers of debt and equity securities, special situations investments, and transactional matters relative to in-court and out-of-court restructurings. Amy also has experience representing lenders on secured and unsecured financing transactions across a wide array of industries, including shipping, airline, energy and infrastructure.

Amy is a consensus builder with industry knowledge and working relationships with all major market players. She has extensive experience in the preparation and negotiation of bespoke documents under the LSTA and LMA regimes, and is routinely involved with cross-border transactions throughout Europe, Asia, Latin America and the United States. Vanessa uses a process-driven approach and machine learning technology to review contracts, amendments, company charters, board and shareholder materials, corporate filings, investor materials, and related documents to prepare detailed analyses for a variety of client needs. Examples of this work include due diligence matrices tracking red flag provisions; corporate audits identifying potential issues for acquisitions, sales, or flips; financing packages; and drafting documents. She also assists privacy and data security teams to manage privacy law programs, including drafting privacy policies and data subject request protocols, coordinating personal data inventory reviews, and reviewing data privacy agreements.

Amanda clerked for Chief Judge Mary H. Murguia of the Ninth Circuit Court of Appeals and for Judge Arenda Wright Allen of the Eastern District of Virginia. During her tenure on the fast-paced “rocket docket,” Amanda assisted Judge Allen in all aspects of presiding over several jury trials and in managing her weighty civil docket. While clerking on the Ninth Circuit, Amanda was intimately involved in oral argument preparation, case strategy, and opinion drafting for both en banc and three-judge panel proceedings. Both clerkships give Amanda invaluable “behind the scenes” experience and an understanding of persuasive writing and argument techniques as well as the mechanics of judicial decision making. Amanda uses these insights and her ability to quickly identify the tipping point of complex cases to clearly and concisely draft the most compelling argument on behalf of her clients.
