Christopher Gladbach, senior associate in the Washington, D.C., office, is a member of the Energy and Infrastructure group.

Mr. Gladbach's practice focuses on structuring complex equity and debt investments, including tax equity investments. He has experience representing clients in connection with the Defense Department procurement of renewable energy; and has broad experience representing and assisting clients in various financial transactions, including project financings, securities offerings, mergers and acquisitions, private placements and capital market transactions.

Mr. Gladbach is the author of several publications and frequent speaker on topics related to energy finance including project and capital market financings, mergers and acquisitions and tax-equity investments.

  • Represented several sponsors in obtaining more than US$2 billion in construction and term debt financing for wind and solar projects.
  • Represents sponsors of wind and solar projects on partnership flip deals using PTCs or the Treasury cash grant.
  • Represented several generation and transmission cooperatives in obtaining more than US$10 billion in financings through syndicated credit facilities, 4(2) private placements, 144A capital markets transactions, and tax-exempt financings.
  • Represents a leading private equity fund in the development financing of a portfolio of biomass investments.
  • Represented U.S. utilities in wind and solar power purchase transactions for long-term electric power supply.
  • Represented a turbine manufacturer and developer in connection with obtaining tax equity financing for, and a corresponding sale to a cash equity investor of, an energy-hedged portfolio of three merchant wind projects with a value of between US$900 million and US$1 billion.
  • Advised a wind client in connection with simultaneous back-leverage financing, project financing, tax equity financing and energy hedge transactions.
  • Advised a number of Japanese and inbound developers and investors in the development of several renewable energy projects in Japan, including EPC and other construction arrangements, contracts for turbine or panel supply, and joint development arrangements.
  • Advise a number of developers and investors in connection with Department of Defense’s renewable energy procurement programs, including the MATOC.
  • Advised on the government-contracting aspects of Air Force project development, financing and purchase and sale of solar project.
