Orrick Represents K5 Global in the $2.25 Billion Acquisition of HistoSonics

HistoSonics, the developer of the Edison® Histotripsy System and novel histotripsy therapy platform, announced the completion of a management-led majority stake acquisition by K5 Global and a syndicate of other globally recognized private and public investors, including Bezos Expeditions and Wellington Management. The transaction values HistoSonics at approximately $2.25 billion and will accelerate global expansion of the company’s breakthrough Edison® Histotripsy platform and non-invasive tumor therapy.

An Orrick team led by Max Cantor, Spencer Cohen and Matthew Gemello advised K5 Global. The team also included Joanna Pak, Vernon Lin, Ken Rasamny, Matt Janosko, Craig Falls, Kristin Petersen, Danielle Mangogna, Seojung Park, Jeanine McGuinness and Harry Clark.
