Amy is a member of the Energy and Infrastructure Group.

Her practice focuses on energy project finance and development, mergers and acquisitions, and general corporate matters.  Amy has represented sponsors, developers, investors, and electric utilities in connection with energy project sales and acquisitions, tax equity investments, cash equity investments, joint ventures, private placements, and a broad range of corporate matters.

Amy is passionate about making the legal profession more inclusive. She is the first American Indian woman Partner at Orrick, and she takes a leadership role in Orrick’s DE&I programs and initiatives, including as an Ambassador for Orrick’s Mansfield Rule for Workflow collaboration with Diversity Lab through the Move the Needle Fund and as Co-leader of the firm’s First-Generation Lawyers affinity group.

  • M&A, Project Finance and Capital Markets

    • Represented sponsor in connection with the sale of a majority interest in an approximately 500 MW portfolio of wind energy projects located in the United States and Canada with total asset value estimated at approximately $860 million.

    • Represented sponsor in connection with the sale of a majority interest in an approximately 300 MW wind energy project located in Texas.

    • Represented methanol producer in connection with private placement of long-term debt securities.

    • Represented sponsor in connection with the sale of a portfolio of solar projects.

    • Represented sponsor in connection with the sale of an approximately 300 MW wind energy project in Texas.

    • Represented developer in connection with the construction financing and sale to a corporate purchaser of wind energy projects located in Texas and Illinois with a total aggregate capacity of approximately 260 MW.

    • Represented various electric utilities in separate private placements of long-term debt securities totaling, in aggregate, approximately $720 million.

    • Represented various generation and transmission cooperatives in separate credit facilities totaling, in aggregate, approximately $1 billion.

    • Represented investor in connection with a cash equity investment in a portfolio of repowered wind projects.

    • Represented developer in connection with a sale and leaseback transaction for a portfolio of solar projects.

    • Represented sponsor in connection with a cash equity investment in an approximately 1,100 MW portfolio of wind energy projects located in various states with total asset value estimated at approximately $2.55 billion.

    • Represented one of the world’s largest renewable energy developers in connection with tax equity financing of portfolios of wind energy projects and single wind energy projects located in California, Indiana, Iowa, Kansas, New York, Ohio, Oklahoma and Texas with a total aggregate capacity of approximately 1,402 MW.

    • Represented sponsor in connection with an equity investment in an approximately 1,000 MW portfolio of wind energy projects located in various states.

    • Represented sponsor in connection with tax equity financing and equity investment in a 30 MW portfolio of solar energy projects located in California.

    • Represented sponsor in connection with tax equity financing of an approximately 60 MW portfolio of solar energy projects located in South Carolina.


    Joint Ventures, Project Development and General Corporate

    • A leading offshore wind project developer in the formation of joint venture with a private infrastructure fund for the development of utility scale offshore wind projects.
    • A company in connection with a strategic partnership with a global investment firm for the development of utility-scale solar projects and solar battery storage assets.
    • Represented subsidiaries of NOVA Chemicals Corporation and Borealis AG in their Texas joint venture with Total Petrochemicals and Refining USA, Inc. with respect to two existing polyethylene facilities, an under-construction ethane cracker and a development stage Borstar polyethylene facility.
    • Represented developer in connection with negotiating and drafting a master joint development agreement and limited liability company agreement for the development, financing and construction of a wind project.
    • Represented sponsor in connection with the negotiation and drafting of Balance of Plant (BOP) and solar equipment supply agreements.
    • Represented developer with respect to an Engineering, Procurement and Construction (EPC) Agreement and Turbine Supply and Service Agreement for an approximately 200 MW wind project.
    • Represented project owner in connection with an energy hedging arrangement.
    • Represented energy companies with respect to corporate governance and corporate compliance matters.
    • Represented a tribal corporation with respect to DOE grant funding opportunities.
