Kayla Southworth is a Senior Associate in the New York office and a member of the M&A and Private Equity Group and Life Sciences & HealthTech Group.

Kayla advises public and private life sciences, technology, and energy companies, and private equity funds and their portfolio companies, on domestic and cross-border mergers and acquisitions, minority and majority investments, joint ventures, licenses, collaborations, royalty and revenue-sharing financings, and other complex transactions. She also advises clients on New York and Delaware corporate, partnership, limited liability company, and non-profit law, including corporate governance and fiduciary duty matters.

Prior to joining Orrick, she was an Antitrust Associate at Davis Polk and a Litigation Associate at Sullivan & Cromwell.

    • Twist Bioscience Corporation, a core mid-cap growth and value equity company in the life sciences segment of the health care sector, on the spin out of its DNA data storage technology application as an independent company, named Atlas Data Storage
    • Sosei Group Corporation, a fully integrated biopharmaceutical company, on its CHF 400 million acquisition of Idorsia’s Japan and APAC (ex-China) pharmaceuticals business
    • Ferring Pharmaceuticals on several M&A and collaboration transactions
    • RapidMiner, a data analytics and machine learning software company, on its acquisition by Altair Engineering, a global leader in computational science and artificial intelligence solutions, for $100 million
    • Catalyst Biosciences, Inc. on the sale of its complement asset portfolio for $60 million in cash
    • Warburg Pincus and its portfolio company Qualifacts on its merger with Credible Behavioral Health and the add-on acquisition of InSync Healthcare Solutions
