Elin is a finance lawyer with significant experience across a broad range of lending structures and circumstances.

Elin focuses on innovative and complex transactions, representing lenders and borrowers across a spectrum of traditional and non-traditional debt sources, including:

  • Growth and venture debt
  • Special situations and alternative investments
  • Stressed and distressed investing
  • Restructuring and insolvency

Before joining Orrick, Elin spent two years as a sole counsel in private equity and special situations funds, and was previously an associate in the finance and restructuring team of an international law firm.

Elin also teaches debt negotiation in private equity at the Saïd Business School, University of Oxford, and is a Senior Adviser for Blue Crescent Capital.

    • Acting for a growth / venture debt provider in connection with a new debt facility to a European car subscription business.
    • Acting for a growth debt / venture debt provider as lender in the healthcare technology space.
    • Acting for a growth / venture debt provider in connection with a new debt facility to a European hospitality management business.
    • Acting for a growth / venture debt lender in connection with contingency planning and refinancing options analysis.
    • Acting for a high growth fintech company in the UK with respect to a strategic sale of its assets and reorganisation of its business, involving the management of its debt relationship during its divestments.

    Special Situations Investing

    • Acting for the lenders (alternative/special situations fund managers) to a UAE-based ship recycling business.
    • Acting for Njord Partners LLP in connection with the restructuring and acquisition of a majority shareholding in the Portuguese high voltage cable manufacturer, Solidal – Condutores Eléctricos, S.A.. Part of the team recognised for International Company Turnaround at the Turnaround Management Association 2020 Turnaround and Transaction of the Year Awards.
    • Acting for a special situations investment manager as lender to a Malta-based sports betting business.
    • Acting for a leading global alternative asset manager on its multi-jurisdictional special situations platform investment with another leading global fund and a local expert management team.
    • Acting for a special situations investment manager in connection with its successful investment into an offshore geotechnical engineering and drilling company based on Switzerland.
    • Acting for a special situations fund in successful exit from post-restructured ceramics business in Spain.

    Distressed Investing

    • Acting for an ad hoc group of noteholders in respect of their interests in the approx. USD 1bn indebtedness issued by a leading provider of offshore drilling services in Mexico.
    • Acting for an ad hoc group of junior noteholders in respect of the restructuring of approx. USD 1bn indebtedness issued by the Galapagos group. The transaction was shortlisted for Deal of the Year (Restructuring) at the IFLR Europe Awards 2020.
    • Acting for an ad hoc group of noteholders in respect of their interests in the EUR 200m indebtedness issued by Young’s Seafood, and the business sale and the subsequent distribution of consideration to noteholders.
    • Acting for an ad hoc group of senior old money lenders on the EUR 3.4bn restructuring of Abengoa, including swapping existing notes for mandatory convertible notes.
    • Acting for the lenders to the Casual Dining Group on its restructuring, implemented by way of a lender-led acquisition.

    Restructuring and Insolvency

    • Acting for Ferroglobe PLC in respect of a comprehensive refinancing proposal.
    • Acting for Flint Group in respect of the restructuring of over EUR1.7bn first and second lien indebtedness through multiple schemes of arrangement in England.
    • Acting for a majority stakeholder in German company Auto-Teile-Unger’s EUR 250m debt restructuring. The transaction was shortlisted for Deal of the Year (Restructuring) at the IFLR Europe Awards 2017.
    • Acting for a UK / US fintech business in relation to contingency planning.
