As Co-Lead of Orrick's Environmental Practice, Stacy collaborates with Orrick teams to advise on the environmental law and climate change aspects of energy and infrastructure projects, M&A, joint venture, capital markets and financing transactions, as well as environmental and climate change litigation and regulatory matters. She also co-leads on the environmental aspects of Orrick’s market-leading ESG practice, where she focuses on helping clients navigate climate change and sustainability regulation and transactions, including advising on carbon credits and carbon trading in voluntary and regulated markets, developing ESG management and reporting practices and drafting public disclosures and sustainability reports.

She advises traditional and alternative energy companies, chemical, plastics, biopharmaceutical and fuel manufacturers, waste disposal and landfill facilities, aerospace, automobile and other industrial product manufacturers, computer hardware and chip manufacturers, forestry and mining companies, financial institutions, investors and developers on risk management and strategy, site evaluation, legal liability risks, remediation and permitting efforts, public disclosures, due diligence and contractual negotiations.

She also has significant experience representing clients in administrative and judicial proceedings involving environmental law, and guiding emergency and crisis response.

She has been recognized by the Silicon Valley Business Journal as one of its Women of Influence, which spotlights the 100 most influential women in Silicon Valley. She proudly serves on the board of The Arc of the United States, a disability rights nonprofit that oversees over 600 local chapters serving individuals with intellectual and developmental disabilities, and formerly served on the board of the San Francisco Chapter of The Recording Academy, which runs The Grammy Awards.

  • Transactional Environmental Counseling

    • Represented the U.S. Department of Energy as guarantor of financing for a $1.24 billion utility scale solar project in connection with its loan guarantee program.
    • Represented Five Points Holding Company in connection with its IPO and advised on NEPA, CEQA and environmental contamination issues related to client projects developed on former military bases and oil and gas sites.
    • Advised Superior Plus on its acquisition of Certarus, a leading North American low-carbon energy solutions provider, in a deal valued at CAD$1.05 billion.
    • Represented a global asset manager in financing a desalination plant in California.
    • Represented Devon Energy Corporation in its acquisition of 82,000 net acres in the Eagle Ford from GeoSouthern Energy for $6 billion.
    • Advised Castle Harlan, Inc., Lime Rock Partners and CHAMP Private Equity in the formation of Shelf Drilling, Ltd. and the acquisition by Shelf Drilling of a fleet of off-shore jack-up drilling rigs from Transocean Ltd.
    • Represented Huntsman Corporation and various affiliates in multiple acquisitions, including acquisitions of businesses from The Dow Chemical Company and Rohm and Haas Company, and in the formation of a joint venture with Imperial Chemical Industries PLC.
    • Advised Morgan Stanley in connection with the IPO of China First Chemical Holdings Ltd.
    • Advised various underwriters in connection with public securities offerings by Novelis Corporation.
    • Represented Cemex Corporation in connection with various public securities offerings.
    • Advised Scitex Vision Ltd. in the sale of its printing business to Hewlett Packard Company.
    • Advised Freedom Communications in its sale of the Orange County Register and numerous other print and online newspaper publications to multiple buyers.
    • Represented The Walt Disney Company in its $4 billion acquisition of Lucasfilm Ltd.
    • Advised Castle Harlan, Inc. in various transactions, including its acquisition and subsequent sale of IDQ Holdings, Inc. (refrigerants).
    • Represented ClearLight Partners LLC in its acquisitions of Gold Canyon Mining and Construction, LLC and Switchcraft Holdings Inc.
    • Advised Permira Funds in its acquisition of Cabrex Corporation.
    • Represented Crimson SV, LLC in the acquisition of Tyden Group, Inc. and Tyden Group in the acquisitions of E.J. Brooks Co., Inc. and Stoffel Holding Company.
    • Advised GFI Energy Group of Oaktree Capital Management, L.P. in the acquisitions of Sheehan Pipeline Construction Company, Snelson Companies, Inc. and UtiliQuest Holdings Corp.

    • Represented The News Corporation Limited and Fox Entertainment Group, Inc. in the purchase and subsequent sale of the Los Angeles Dodgers.

    • Represented the successor to a chemical manufacturing company in connection with administrative and judicial proceedings relating to contamination of the Passaic River in New Jersey.
    • Represented the parent company of a chemical manufacturer in a $1 billion natural resource damages suit in California.
    • Advised various manufacturing companies in connection with administrative, judicial and arbitration proceedings and environmental indemnity claims.
    • Represented a redevelopment agency in suit involving contamination caused by historic World War II-era shipyards.
    • Represented a gasoline retail chain in a governmental proceeding relating to alleged underground storage tank violations.
    • Represented various property owners in connection with proceedings before the California Coastal Commission and other regulatory bodies.
