Ian Shaw



Ian heads Orrick's employee share schemes and incentives practice in London. He advises both public and private companies on the design, implementation and operation of the full range of share-based incentive plans, in particular tax-favoured arrangements.

Ian also advises on the share schemes aspects of IPOs and a broad range of international M&A transactions. He has considerable experience in relation to employee benefit trusts and of advising senior executives on the impact on their awards of changing employer.
  • Recent highlights have included advising:

    • Hogg Robinson Group Plc on the simultaneous announcement of a recommended £410m takeover offer for the company by American Express Global Business Travel, as well as the simultaneous class 1 disposal of its Software-as-a-Service technology business Fraedom to Visa for approximately £140m.
    • e2v Technologies plc on the share schemes aspects of their £620m+ sale to Teledyne.
    • Appleby on the employee benefit trust aspects of the sale of its fiduciary business to private equity firm Bridgepoint.
    • GAME Digital plc, the leading omni-channel specialist retailer of video games in the UK and Spain, on the incentives aspects of its £340m flotation on the main London market.
    • Aptean, Inc. on its £90.1 million recommended offer to acquire Sanderson Group Plc.
