Orrick Advises Shopify in $450 Million Acquisition of 6 River Systems

Orrick advised Ottawa-based Shopify Inc. (NYSE: SHOP), the leading cloud-based, multi-channel commerce platform designed for small and medium-sized businesses, in its proposed acquisition of 6 River Systems, a provider of collaborative warehouse fulfillment solutions.

Under the terms of the agreement, Shopify will acquire all of 6 River Systems’ outstanding securities in a transaction valued at $450 million, consisting of 60% cash and 40% in Shopify Class A Subordinate Voting Shares. Additional information is available in Shopify’s press release.
