Emanuela Molinaro Partner Real Estate, Real Estate Finance

Milan

Emanuela Molinaro is a partner at Orrick, based in the Milan office and member of the Real Estate group within the Finance team.

With a solid corporate background, she has advised on real estate aspects of a wide range of corporate transactions and has also gained significant experience in the area of real estate transactions and construction law, having assisted domestic and international investors in connection with various property and property-development transactions in Italy, including the disposal of complex real estate portfolios, sale and lease-back transactions, land acquisition and building redevelopment.

Emanuela is ranked in Chambers & Partners since many years in Band 3 for Real Estate with the comment: 'Emanuela Molinaro is widely appreciated for her "practical solutions." She acts for both domestic and international clients on the full spectrum of real estate issues.'

She has also a considerable experience in advising on a wide range of corporate transactions also with an emphasis on mergers and acquisitions, private equity, corporate finance transactions and on-going assistance to corporate clients as well as financial institutions.

Dr. Felix Schäfer Counsel Real Estate

Dusseldorf

Dr. Hans Felix Schäfer, Counsel in Orrick's Düsseldorf office, is a member of the Real Estate Group.

Felix has particular experience in the infrastructure and logistics sectors, where he has been focused on real estate transactions, structuring of real estate investments, fund counseling and private equity as well as restructuring of real estate financings. He has also advised on a series of diverse large scale project developments as well as (portfolio) transactions for German and international clients.

Felix previously worked at international law firms Freshfields Bruckhaus Deringer and DLA Piper UK LLP. He served as inhouse counsel with ProLogis Germany Management GmbH and spent two years with HFK Law Offices. Most recently, he was an associated partner with independent German law firm Graf von Westphalen.

Felix attended the University of Cologne, where he received his doctorate degree. He has been acknowledged as "frequently recommended" in the field of Real Estate by JUVE Handbook of German Law Firms (2012/2013) and is member of the Royal Institution of Chartered Surveyors.

Marshall Brozost Partner Real Estate, Real Estate Investment Funds

New York

Marshall Brozost is a Real Estate lawyer in Orrick’s New York office and serves as head of the New York Real Estate Group.

He focuses on complex real estate transactions on behalf of institutional and private equity investors. In addition, his practice encompasses all aspects of commercial real estate investment, from purchases and sales, formation of joint ventures and real estate funds to mortgage and mezzanine financing, REIT structuring, workouts and leasing. His clients include State Street Global Advisors, Phoenix Realty Group, Arel Capital and The Praedium Group, as well as other real estate private equity funds, investment advisers, domestic and foreign institutional investors, lenders and developers. He also advises on CMBS and merger and acquisition transactions.

In the 2020 Real Estate category of Legal 500 US, a client commented that Marshall is "particularly knowledgeable, a great negotiator, excellent problem solver, and quick to turn documents all while maintaining a demeanor that is tough when it needs to be and pleasant when tough is not necessary."

Marshall previously was a partner at Schulte Roth & Zabel LLP and Dewey & LeBoeuf LLP.

Carine Mou Si Yan, avocat aux barreaux de Paris et de New York, est membre du groupe Banking and Finance.

Avocat aux barreaux de Paris et de New-York, Carine Mou Si Yan intervient sur des opérations transfrontalières et françaises dans le secteur bancaire et financier et notamment sur les aspects financement et refinancement d’opérations de restructurations, ainsi qu’en matière de financement immobilier.

Carine intervient dans des opérations de restructuration diverses, qu’elles portent sur des PME et ETI ou qu’elles soient de premier plan, conseillant aussi bien les créanciers que les débiteurs dans de larges secteurs tels que la construction, les industries lourdes, la papeterie, les transports, les réseaux de distribution d’électricité, l’hôtellerie, la grande consommation et l’immobilier.

Elle a également développé une expertise en financement immobilier (portant sur une grande variété d’actifs immobiliers tels que locaux commerciaux, bureaux, logistiques, hôtels ou infrastructures) conseillant emprunteurs et prêteurs (que ce soit des établissements de crédit ou des prêteurs alternatifs).

Emmanuel Ringeval Partner Banque & Finance, Restructuration

Emmanuel Ringeval est avocat associé en droit bancaire et financier au sein du bureau parisien d’Orrick.

Emmanuel représente des institutions financières françaises et internationales, des entreprises, des fonds de private equity et des apporteurs de fonds alternatifs (alternative capital providers) dans le cadre de leurs transactions domestiques et transfrontalières. Il se consacre plus particulièrement aux opérations de financement avec effet de levier, aux opérations de direct lending et aux restructurations.

Emmanuel a aussi développé une expérience importante dans le secteur de l’énergie et de l’infrastructure dans le contexte de financements ou refinancements complexes incluant des financements bancaires et/ou obligataires.

Avant de rejoindre Orrick en 2016, Emmanuel était associé au sein des cabinets Freshfields Bruckhaus Deringer et Weil, Gotshal & Manges.
