Emma advises on the full asset lifecycle of large-scale energy and infrastructure projects. She helps clients navigate M&A, strategic disposals, joint ventures, government and regulatory matters, country entries and exits across Europe, Africa, Asia and Latin America.

Prior to joining Orrick Emma spent over two years as in-house legal counsel at Tullow Oil plc, where she was an advisor to the Non-Operated and Exploration business unit which managed the company's joint venture and government relationships across its portfolio of assets in Argentina, Côte d'Ivoire, Gabon, Guyana and Kenya. Her in-house experience gives her a practical, commercially minded perspective and an understanding of the operational realities facing energy companies.

Before her in-house role, Emma was an Associate in the London office of an international private practice law firm, where she gained experience across projects and construction, international trade, and commodity trading.

Emma has also advised on UK and EU ESG-related reporting and disclosure requirements for companies.

  • Oil & Gas

    • Advised Tullow Oil on the sale of its Gabon subsidiary and portfolio of assets for USD 307 million.
    • Advised Tullow Oil on the sale of its Guyana subsidiary for a mix of upfront and deferred consideration.
    • Advised Tullow Oil on the sale of Tullow Kenya for USD 120 million plus a royalty payable on future production.
    • Advised Tullow Oil on a value-neutral portfolio rationalization swap transaction with its joint venture partner in Gabon.
    • Negotiated settlements with host governments and joint venture partners and managed country exits from Argentina, Zambia, Uruguay, Peru, and Mauritania.
    • Participation in supranational negotiations with the Central African Bank, country and IOC operators across the CEMAC region concerning the implementation of new foreign exchange regulations affecting the repatriation of decommissioning funds.

    ESG & Regulatory

    • The design and implementation of a group-wide ESG compliance monitoring system for a corporate group to strategize and monitor compliance and reporting requirements across its subsidiaries and jurisdictions of operation.
    • Various clients on sanctions advice in response to Russia's invasion of Ukraine and the corresponding impact across a broad range of sectors including real estate, international trade and shipping, commodities, and construction.

    Projects & Infrastructure

    • Assisting project management companies on the maintenance of a portfolio of social infrastructure projects initially established under the UK Government PFI/PPP schemes.
    • Advising developers and contractors on variations to existing project agreements, drafting and negotiating building contracts, collateral warranties, professional appointments, and ancillary documents relating to major UK projects.
    • Acting on an energy distribution project necessitating commercial supply agreements, Phase Project Development Agreements, Utility Supply Contracts, and Combined Heat and Power distribution deeds for mixed-use commercial and residential energy distribution projects.
