Michelle Jiang is an associate in Orrick’s Mergers & Acquisitions practice, based in New York. She represents strategic and financial sponsor clients across the full transaction lifecycle, including buyouts, cross-border acquisitions and divestitures, minority investments and public company M&A, with additional experience in shareholder activism defense and capital markets.

Michelle’s practice spans industries including life sciences, industrials, insurance and asset management, education technology, and energy. She also advises public company clients on activist defense strategy, proxy disclosure, and governance matters, and has developed a specialized capability in nuclear regulatory matters, including NRC licensing, radioactive materials change-of-control filings, and related compliance analysis in the context of M&A and financing transactions.

Prior to joining Orrick, Elle was an associate at Sidley Austin LLP, where she represented clients in high-profile M&A and private equity transactions. During her time at Sidley, she completed an eight-month secondment with Morgan Stanley’s Investment Banking Division. Michelle earned her J.D. from Cornell Law School and received her B.S. in Chemistry and Political Science from the University of Illinois at Urbana-Champaign.
