Jessica focuses her practice on complex financing transactions for clients in the energy space.

She represents sponsors, debt providers and equity providers in financings and acquisitions for various energy and infrastructure assets, including renewable power (including solar and wind), conventional power and oil and gas. Jessica has experience with a wide array of debt financing structures (including those placed in the commercial bank / term loan A, term loan B, private placement and direct lending markets), involving single-asset and multi-asset portfolios, whether in the form of senior secured project-level financings, or in the form of back-leveraged holdco financings. She is also experienced representing sponsors and equity providers in tax equity financings for renewable energy projects.

Jessica serves on the board of the Texas Energy Law Association (TELA).

  • Project Finance and Tax Equity

    Represented an infrastructure fund-sponsored energy company in the investment-grade US 4(a)(2) private placement and commercial term loan acquisition financing of a 1,276 MW portfolio of combined-cycle natural-gas power generation facilities in Minnesota.

    Represented a renewable energy company in the investment-grade US 4(a)(2) private placement back-leverage / holdco refinancing of a 585 MW portfolio of photovoltaic (PV) solar power generation facilities in Utah, which structure included existing joint venture arrangements.

    Represented the sponsor on the debt financing of an approximately 300 MW wind project in the U.S. Midwest, including a tax equity bridge loan, a construction/term loan facility and a letter of credit facility, as well as a concurrent tax equity financing.

    Represented one of the world's largest independent power producers in the tax equity financing of a 525 MW solar portfolio.

    Represented the owner of deep-water access marine liquids terminals as the borrower of a senior secured term loan facility and a revolving capital expenditures facility. 

    Mergers and Acquisitions

    Represented a global renewables operator in its purchase of a portfolio of solar and battery storage projects from a U.S.-based independent power development and marketing company. 

    Represented a U.S.-based clean energy developer and operator in the sale of a Texas wind generation facility to a Canadian power producer.

    Represented a private equity-backed Texas oil and gas company in an acquisition and acreage exchange for an operated interest in the Permian Basin. 


    Advised issuers and underwriters in a variety of public and private offerings of global high-yield and investment-grade debt and equity securities.

    Represented a Honduran unaccompanied minor in her affirmative application for asylum in the United States.
