Orrick Advises Vantage Towers in Connection With its Extraordinary Shareholders' Meeting

Orrick advised tower infrastructure operator Vantage Towers AG in connection with its extraordinary shareholders' meeting held in Düsseldorf on May 5, 2023.

A central component of the agenda and the discussions between the shareholders and the Management Board was the planned control and profit and loss transfer agreement with Oak Holdings GmbH. With an approval of 98.25% of the voting capital present, this clearly achieved the required majority of 75%.

Vantage Towers is a leading tower company in Europe with around 83,000 sites in ten countries, connecting people, businesses and devices cities and rural areas. The company was founded in 2020 and is headquartered in Düsseldorf.

Oak Holdings is a joint venture of Vodafone, Global Infrastructure Partners (GIP) and KKR and holds their majority stake in Vantage Towers AG.

Vantage Towers was advised by an Orrick team led by partners Oliver Duys, Nikita Tkatchenko, Christoph Rödter and Wilhelm Nolting-Hauff, and included Timo Holzborn, Carolin Ostendorf, Michael Gläsner, Marvin Aideyan and Alessandro Saitta. Orrick had already advised Vantage Towers in connection with the 2022 formation of the joint venture between Vodafone, GIP and KKR.
