We advised the French water treatment group Saur in its acquisition of the Dutch company Nijhuis Industries, a leader in the industrial water treatment sector.
The integration of Saur’s industrial activities with Nijhuis Industries, a company that is active in several countries in Europe, the Americas, Asia and the Middle East, will generate significant synergies due to the complementary nature of the technologies, customer portfolios and geographic locations. With this new acquisition, Saur will become a leader in industrial water treatment.
Orrick assisted Saur in negotiating and signing the acquisition contract. The completion of the transaction, which is expected before the end of the year, is subject, among other things, to the approval of the antitrust authorities and consultation with the employee representative bodies of Nijhuis.
Our team was led by partner George Rigo and included of counsel Gergana Rodriguez-Bacarreza and associates Florent Lewkowicz, Lionel Simonet and Marc Diab Maalouf for the corporate law aspects; partner Patrick Hubert and associate Elise Durand for the competition law aspects; of counsel Foucaud Jaulin and associates Amélie Boumrah and Marie-Elise Douge for the contract aspects; and partner Frédéric Lalance for the compliance aspects of the transaction. The team also benefited from the support of a Heussen team including Stan Robbers and Suzanne Beijersbergen for the Dutch law aspects.
