Orrick Advises Investors in AWEBA in Sale to Schuler

Schuler AG acquired 100 percent of the Saxon die construction specialist AWEBA Werkzeugbau GmbH Aue.

Closing of the transaction is subject to the approval of the competent cartel authorities. AWEBA was previously held by private and institutional investors. The parties have agreed not to disclose any details about the deal value.

AWEBA was founded in 1882 as „Bernhard Hiltmann Spezialfabrik für Schnitt und Stanzwerkzeug“. Its customers are mainly companies in the area of automotive and electronic industry as well as machine and plant manufacturers. In 2015 the AWEBA group generated sales revenue of EUR 60 million with approximately 600 employees. Schuler is one of the world’s largest manufacturers of forming equipment. In 2015 Schuler posted sales of EUR 1.20 billion. With around 5,200 employees, Schuler is represented in 40 countries.

Orrick advised one of the investors in AWEBA regularly on several previous transactions and was therefore also engaged by the other owners.
