Orrick’s Global Japan Practice is hosting a series of “Orrick Library” seminars to explore legal issues in various fields in Japan as well as the United States, Asia and Europe. The next seminar will be held on Thursday, July 26 from 9:00 am to 10:30 am.

In connection with Orrick’s representation of Toyota Motor Corporation and its subsidiaries in the highly complex and global restructuring of Takata, we saw and learned a great deal about how best to protect manufacturers in cross border insolvencies involving vendors and suppliers. Our discussion will focus on the following:

  • Overview of Takata bankruptcy
    • What led to the bankruptcy filings in the U.S. and Japan
    • Outcome of the bankruptcy cases
  • Lessons learned for manufacturers
    • Identifying early warning signs
    • Managing bankruptcy process in multiple jurisdictions
  • Best practices when a global vendor or supplier becomes insolvent
    • Treatment of contracts
    • Managing product liability/warranty claims
