Orrick’s Capital Markets team focuses on capital raising solutions for disruptors in the technology, life sciences and healthtech, energy and infrastructure, and finance sectors. We advise public companies on offerings and guide high-growth companies forge a path to IPO and beyond.

We see a capital markets transaction as an opportunity to tell the story of the business – to regulators, investors, consumers and the market generally. Our clients rely on us to tell their stories in a manner that reflects who they are – disruptors who are changing the markets they are entering. We also advise private equity sponsors, venture capital funds, institutional investors, and investment banks who value our focus on what makes each issuer distinct and our understanding of how innovators see their role in shaping the market.

We provide long-term planning for growth-stage companies and partner with in-house legal and finance and compliance teams to lead and educate their organizations through the IPO process.

  • Equity Capital Markets: We clients on all aspects of their business plans, including initial public offerings, direct listings, follow-on offerings, shelf registrations, ATM and registered direct offerings, PIPE transactions, private placements and other financing strategies. We have also advised on many follow-on common stock offerings by issuers and/or selling stockholders, and we have acted as underwriters’ counsel for all of the leading investment banks.
  • Debt Capital Markets: We represent companies in their initial issuances and refinancings of debt securities and offer financial institutions dynamic solutions for transactions that involve both bank and bond financings. Our team has significant experience with high yield, investment grade and convertible notes offerings, including financing for leveraged acquisitions, as well as liability management transactions such as exchange offers, tender offers and consent solicitations.
  • Special Purpose Acquisition Companies (SPACs) and Reverse Mergers: SPAC deals and reverse mergers are all about speed, and with the ever-evolving deal structures – targets, sponsors, investors and public companies need experienced counsel to identify blind spots. Orrick’s SPAC and reverse merger team offers sophisticated and adept legal counsel to successfully guide clients through all phases of a SPAC or reverse merger transaction. We offer a tech-focused practice, with deep market knowledge, and in-depth experience needed to get deals done.
  • Public Companies and Corporate Governance: We act as outside corporate counsel advising management, boards of directors and board committees on governance matters, including a broad range of complex transactions regarding numerous local, state and federal regulations, securities law, legal compliance, fiduciary duties, board oversight responsibilities and related matters. Our public company clients look to us for advice on all aspects of public company reporting, including preparation of annual and quarterly reports, proxy statements and other ongoing reporting questions.

    We act as outside corporate counsel advising management, boards of directors and board committees on governance matters, including a broad range of complex transactions regarding numerous local, state and federal regulations, securities law, legal compliance, fiduciary duties, board oversight responsibilities and related matters. Our public company clients look to us for advice on all aspects of public company reporting, including preparation of annual and quarterly reports, proxy statements and other ongoing reporting questions.

    Stock Exchange Listings

    We advise issuers and underwriters on capital markets transactions globally. We have advised clients on listings on the main international capital markets, including the Nasdaq Market, the New York Stock Exchange, the London Stock Exchange and the Hong Kong Stock Exchange.
