Nate Spanheimer advises commercial banks, investment banks, institutional lenders and underwriters on the secured lending, securitization and CLO transactions that underpin today's structured credit markets.

As a member of Orrick's market-leading CLO and Structured Finance Practice, Nate's work spans financing, liquidity and risk-transfer structures that facilitate credit origination, distribution and capital formation across the market. As non-traditional capital providers play an increasingly significant role in private credit (a role which we anticipate continuing to grow in significance), Nate brings a practical perspective on how market participants are adapting financing structures, managing risk and maintaining resilience across the structured credit ecosystem. His experience advising both traditional financial institutions and alternative credit providers, combined with his work on innovative structured credit transactions, makes him well positioned to contribute to a discussion of the infrastructure supporting modern structured credit markets and the emerging opportunities and pressure points shaping its future.

- Represented a leading investment bank as underwriter’s and issuer’s counsel in a CLO where the entire senior tranche was structured as a convertible loan.
- Represented a leading investment bank as underwriter’s and issuer’s counsel in a CLO using an offshore issuer taxable as a U.S. partnership and a secondary offshore issuer as a tax blocker for the remainder of the equity tranche.
- Represented a leading investment bank in a multi-currency loan facility secured by multinational debt.
- Represented a leading investment bank as lender’s counsel in a multi-tranche loan facility secured by middle-market corporate debt.
- Represented a leading investment bank as lender’s counsel to provide financing for a start-up student loan lending platform.
