David Gotsill, a real estate finance lawyer, assists domestic and international investors in the structuring, financing, acquisition and disposition of real property interests.

As a member of our real estate team, David uses his knowledge of the Japanese real estate laws and market practice to ensure foreign clients achieve transaction terms which track closely to an international standard.  Fluent in Japanese, he assists clients in negotiating financing and collateral from local financing institutions.

David also has experience representing international equity investors and developers in the acquisition, financing and development of solar and wind energy projects. 

  • Recent representations include the following:

    • Advised a leading real estate opportunity fund in connection with a joint venture with a leading Japanese real estate investment and asset management company for the joint venture’s acquisition of an office building in Tokyo through a co-ownership structure, together with non-recourse senior and mezzanine financing from Japanese banks.
    • Assisted a major U.S. energy investor in its joint venture equity investment into a large PV solar project in Japan, including negotiations with local authorities for the acquisition of land rights, negotiations with the EPC and O&M contractors, establishing the joint venture entities and securing financing from Japanese banks.
    • Assisted a leading international real estate opportunity fund with the joint venture structuring of a ¥1.65 billion purchase of a distressed CMBS tranche secured by an Class A office building in Tokyo, by the fund and a co-investment partner in the fund.
