Orrick Advises GEA on Acquisition of Grundfos-Group’s Sanitary Pumps Division

GEA Tuchenhagen GmbH, a wholly-owned subsidiary of GEA Group Aktiengesellschaft, has acquired 94% of the shares in Hilge GmbH & Co. KG from Grundfos GmbH. The Foundation Berdelle-Hilge will stay in place as shareholder of the remaining shares in Hilge. The transaction is subject to the approval of the antitrust authorities.

Headquartered in Bodenheim, Germany, Hilge is a specialized manufacturer of hygienic stainless steel centrifugal pumps for producers of food, beverage and pharmaceutical products, as well as companies in the biochemical industry. Hilge also develops individually tailored solutions for customers in the industrial, environmental technology and surface engineering sectors.

The Grundfos-Group is the world’s leading manufacturer of pumps and pump systems. Based in Bjerringbro, Denmark, the company employs more than 17,000 people worldwide.

GEA Group Aktiengesellschaft is one of the largest suppliers of technology for the food processing industry and is listed on Germany’s MDAX stock index. The Düsseldorf, Germany based group employs more than 18,000 people worldwide and generated consolidated revenues in excess of €4.5 billion in 2014.
