We are pleased to invite you to a breakfast brieﬁng on the ground-breaking reforms of France’s bank monopoly laws. Chaired by Stephen Phillips, European Co –head of restructuring, we will be joined by our experts from Paris, Hervé Touraine, Head of Finance Europe, Olivier Bernard, Structured Finance Partner, and Emmanuel Ringeval, Banking Partner, for a short brieﬁng to discuss reforms which aim to transform direct lending in France.
Our expert Paris team assisted the French government to advise on the reforms, and the brieﬁng will discuss the resulting range of new possibilities for insurers, asset managers, investment funds, private equity funds, debt funds, special situation funds or direct lending funds.

Stephen is Co-head of Orrick's European Restructuring team, and brings significant experience in advising banks, bondholders and corporate groups on restructuring and banking matters.
Praised for his ‘pragmatic and clear advice’ by Legal 500 UK, Stephen's practice focuses on advising alternative credit providers, hedge funds and the special situation arms of investment banks. He and the team are well-placed to handle cross-border mandates as a result of Orrick's extensive European, Asian and US network of offices.

Stephen has authored and published several articles in market leading business sector titles and is regularly quoted in national and sector press.
Having begun his career in Asia advising creditors affected by the Asia Currency Crisis, he returned to London to advise bondholder committees on High Yield / Fallen Angel bond restructurings in the early to mid-2000s.
During the global financial crisis Stephen’s experience focused on leverage finance restructurings and bank restructurings.
Stephen’s principal recent engagements include advising the Ocean Rig group in its restructuring of USD 4bn debt through a Cayman scheme of arrangement, the special committee of the board of Seadrill Partners (SDLP) in respect of a transaction which insulated SDLP from the restructuring efforts of its parent company, Seadrill Limited, and the trustee of the High Yield Bonds of Pages Jaunes which was connected to the restructuring of the indebtedness of the Solocal group. In 2017 Stephen advised the trustee of the bonds of Edcon in its restructuring, a deal which American Lawyer awarded the Global Restructuring Deal of 2017.
Hervé Touraine is Head of Finance Europe, based in Geneva, and also with an office in Paris.
Hervé represents French and international financial institutions, corporates, sponsors, investors, insurance companies, asset managers and alternative capital providers on French and cross borders transactions. He advises on banking, structured finance, securitization, and capital markets transactions.
Hervé has worked on numerous complex, strategic and/or innovative transactions (including many firsts in France and Europe) such as international securitization transactions, covered bonds, corporate structured bonds, project bonds, debt funds and the establishment of dedicated origination and refinancing platforms. He also acted on transactions for financing or refinancing purposes (including liquidity), and for off-balance sheet or regulatory capital purposes. As such, he has developed particular skills in handling multi-jurisdictions and multi-practices transactions.
He has developed a substantial experience in the energy and infrastructure sector in the context of financing and refinancing transactions, using classical bank structures as well as Euro PP, bond and project bond structures, specialized credit institutions and dedicated debt funds.
Hervé is described by his clients as a “key person” for structured finance deals, noting: “when we've got a problem, he's there. We know we can count on him”. Clients further comment: “He is dedicated and innovative, and an expert in is field. We see him as a business partner of ours, rather than a lawyer”.
Hervé is an active participant in drafting securitization and structured finance legislation and regulations in France. Hervé regularly publishes and speaks in relation to structure finance markets and related point of interest and deals.
Before joining Orrick in 2016, Hervé was a partner at Freshfields Bruckhaus Deringer LLP where he worked for 20 years, including 18 years as a partner.
Olivier Bernard, partner in Orrick’s Paris office, is a member of the Banking & Finance group.
Olivier advises French and international financial institutions, insurers, funds and other alternative capital providers, as well as borrowers, on structured finance, debt capital markets and securitization transactions, in relation to a variety of assets, including real estate, transportation fleets and infrastructure.
He has been involved on a number of groundbreaking multi-jurisdictional transactions, privately or publicly placed.
Before joining Orrick in 2016 as a partner, Olivier was counsel in the finance department of Freshfields Bruckhaus Deringer.
Emmanuel Ringeval, partner in Orrick’s Paris office, is a banking and finance lawyer.
Emmanuel represents French and international financial institutions, corporates, private equity funds and alternative capital providers on French and cross borders transactions. He focuses on leveraged finance, direct lending and restructuring transactions.
Emmanuel has also developed a substantial experience in the energy and infrastructure sector in the context of complex financing and refinancing transactions involving loan and/or bond financings.
Before joining Orrick in 2016, Emmanuel was a partner at Freshfields Bruckhaus Deringer and at Weil, Gotshal & Manges.
