Michelle's practice focuses on renewable energy and infrastructure project development and acquisitions.

Her work includes the structuring and negotiation of project development arrangements, early development oversight, BOP and EPC agreements, including for solar, wind, battery energy storage and high voltage facilities, equipment supply agreements (including warranty packages) for solar, wind and battery energy storage facilities, project financing, and project sale and acquisition agreements.

Over the past twenty years, Michelle has been active in renewable energy development, encompassing wind energy projects in the United States, Mexico, Europe, South America and Asia, solar energy projects in the United States, Mexico, Asia and South America and the formation and investment activities of energy investment funds. Michelle has also represented a wide range of clients in general corporate law, private equity, restructuring, share and asset purchases, structured financing, bank finance and leasing.

    • Project Sponsors and Owners for Wind Turbine Supply Agreements and related Operations and Maintenance Services Agreements (including for wind projects located in Texas, Oregon, Illinois, Uruguay, Japan and Europe), including a Wind Turbine Supply Agreement and related Operations & Maintenance Services Agreement for a 196 MW wind project in Texas.
    • Project Sponsors and Owners for Balance of Plant Agreements for wind projects located in Mexico, Texas, North Dakota, Iowa, Oregon, California, Illinois, Uruguay, Japan and Europe.
    • Project Sponsors and Owners for EPC Agreements for solar projects located in California, New York, Ohio, Texas, North Carolina, Massachusetts, Japan and Chile, including an integrated solar and battery energy storage project in California.
    • Project Sponsor and Owner for a Battery Energy Storage System (Supply and Long-Term Service Agreement) for integration with a wind project in Mexico.
    • High Voltage EPC Agreements (Substation and Transmission Lines) for wind and solar projects.
    • High Voltage Services and O&M Agreements for wind and solar Projects.
    • Wind Turbine Maintenance and Services Agreements (post original warranty period).
    • Project Sponsors and Owners for Main Power Transformer Supply Agreements, including for purposes of qualifying for “start of construction” in the United States.
    • Project Sponsors and Owners in equipment supply agreements for solar projects, including for modules, inverters and trackers, including for purposes of qualifying for “safe harbor” status in the United States.
    • Setouchi Future Creations LLC (a special purpose company consisting of GE Energy Financial Services, Toyo Engineering Corp. and Kuni Umi Asset Management Co.) in its joint venture equity investment into the 231.44 MW Setouchi Solar Project.
    • The sponsor or initial investors in wind energy development funds in Europe and the Philippines.
    • The Project Sponsor of the first utility-scale, project-financed PV solar project in the United States, which was awarded “Americas Renewables Deal of the Year” by Project Finance International.
