Steve is admitted in New York California, England and Wales, and Paris and his primary focus is on U.S. taxation of securitizations and re-securitizations, including collateralized debt and loan obligations, mortgage-backed securitizations, structured investment vehicles and other structured finance and financial markets transactions.
For over fifteen years, Steve has served as tax counsel to issuers and underwriters in numerous registered, agency and privately-placed CMBS and RMBS transactions (primary issuances and re-securitizations), involving performing loans and non-performing loans, as well as other mortgage-related asset classes, such as servicing advances and tax liens, and in securitizations involving other asset classes such as credit card and auto loan/lease receivables. Steve also provides tax advice in connection with whole loan purchase transactions, including leveraged and nonleveraged acquisitions, joint ventures involving mortgage assets and repo and warehouse financings for various asset classes. Steve also advises financial institutions on tax issues in connection with their role as servicer, trustee or securities administrator under various securitization programs, as well as with respect to FATCA.
Steve writes and lectures on finance and international related tax topics and also participates actively in the tax committee and other initiatives of the Structured Finance Association and other industry and bar-related organizations.

Margot advises French and international companies and private equity funds on transactional tax matters. She advises companies on their development in France and abroad, mergers and acquisitions, restructurings and refinancing. She also assists companies in tax audits and litigation.
Margot also advises individuals on the management and transfer of their assets.
Before joining Orrick, Margot Janot worked in international firms such as Dentons, Pwc Law Firm and Fidal. She has also worked at the Klépierre real estate company and at the P20 section of the Parquet du TGI de Paris.

Jamie concentrates on a broad range of federal income tax matters, including tax issues related to cross-border stock and asset acquisitions, debt and equity offerings, collateralizations, reorganizations, cross-border financings and transfer pricing.
Prior to joining Orrick, Jamie was an associate at White & Case LLP.

Maïten advises clients on French and international development, mergers and acquisitions, restructurings and real estate investments. She also advises companies and high net worth individuals on the management and transfer of their assets, management incentives, tax audits and litigations.
She also has a strong experience on M&A Insurance/Contingent Tax Risk.
Prior to joining Orrick, Maïten worked in a leading French law firm.

Barbara represents state and local governmental, nonprofit and for-profit corporations, and other market participants in the issuance of qualified 501(c)(3) private activity bonds for eligible residential rental projects for affordable and middle-income housing, as well as related infrastructure financing, including tax and revenue anticipation notes (TRANs). She serves as special tax counsel to one of the largest sports authorities in Texas, with the goal to promote local and community development, including maintenance and expansion of the city’s stadiums and parks.
She also has significant experience representing nonprofit organizations. Formerly an attorney with the Chief Counsel of the Internal Revenue Service, Barbara has represented clients before the IRS in a variety of matters involving tax-exempt bonds, including audits and private letter ruling requests. She has participated in all facets of the tax analysis associated with the issuance of governmental purpose bonds, certain tax credit bonds, qualified 501(c)(3) bonds, qualified residential rental bonds and qualified small issue bonds.
Barbara has served on the Steering Committee and has chaired the Working Capital panel and the Bond Direct Purchase - Advanced Tax Topics panel for the Bond Attorneys’ Workshop, the oldest and largest annual gathering of bond lawyers.
