Orrick Advises BT Group in Negotiations with Computacenter for Sale of BT’s Domestic Operations in France

Orrick is advising BT Group plc (BT), one of the world's leading providers of communications solutions and services, in negotiations for the sale of BT’s domestic operations in France, which includes management and maintenance of IT and network infrastructure as well as networking and related professional services. This transaction is part of BT’s global transformation strategy, which aims to refocus on the provision of next generation network, cloud and security services to multinational organizations.

BT has entered into exclusive negotiations with Computacenter PLC, an independent technology partner for public and private sector organizations. With more than 16,000 employees worldwide, Computacenter supports its customers in the sourcing, transformation and management of their IT infrastructure and to ensure their digital transformation.

The sale project is currently being submitted for consultation to the relevant social and economic committees (CSE). The parties envisage finalizing their agreements and completing the transaction before the end of 2020. The completion of the divestiture will be subject, inter alia, to the authorization of the Competition Authority.
