John is a lawyer in the Energy and Infrastructure Group.

In the energy sector, John's work focuses on project finance and development, general corporate matters and miscellaneous investor arrangements in all phases of the development, financing, construction and operation of primarily renewable energy projects. In the infrastructure sector, his work focuses on the development, construction, operation, maintenance and financing of complex infrastructure projects with a focus on public-private partnerships.

John was a summer associate with Orrick in 2012. Prior to joining the firm, he served as law clerk for the City of Pittsburgh Department of City Planning and law clerk for the U.S. Department of Housing and Urban Development, Pittsburgh Office of General Counsel.

  • Energy

    • The representation of a U.S. portfolio company of a global infrastructure fund on the issuance by its wholly owned subsidiary of US$140 million senior secured notes through a private placement. The proceeds were used to optimize existing capital structure, fund business requirements and return capital to equity partners. As of the date of the transaction, the portfolio company owned and operated more than ten hydroelectric plants across several states with a total capacity of over 100 MW.
    • The representation of the owner and operator of a portfolio of landfill gas-to-energy projects in connection with a US$270 million senior secured credit facility, consisting of a US$200 million Term Loan B and a US$70 million revolver. The proceeds of the facility were used to refinance existing debt and pay a one-time distribution, as well as for future capital expenditures and working capital.
    • The representation of a German solar developer on the funding of a solar PV project, including supporting the negotiation of the Development Loan Agreement, Pledge and Security Agreement, and Promissory Note, amongst other documents.
    • The negotiating and drafting of EPC, O&M, and power purchase agreements, and related development documents for multiple projects to facilitate debt and tax equity funding of utility-scale solar projects.
    • Project developers in a number of renewable projects, including landfill gas and solar and wind energy.

    Infrastructure and Public Private Partnerships

    • A consortium in connection with its bid to design, build, finance, operate and maintain The Purple Line light rail project in Maryland.
    • The Port Authority of NY & NJ in connection with the LaGuardia Airport redevelopment and privatization.
    • A consortium in connection with its bid to design, construct, finance, operate and maintain the managed lanes project in Florida.
