Emanuela Molinaro Partner Real Estate, Real Estate Finance

Emanuela Molinaro is a partner at Orrick, based in the Milan office and member of the Real Estate group within the Finance team.

With a solid corporate background, she has advised on real estate aspects of a wide range of corporate transactions and has also gained significant experience in the area of real estate transactions and construction law, having assisted domestic and international investors in connection with various property and property-development transactions in Italy, including the disposal of complex real estate portfolios, sale and lease-back transactions, land acquisition and building redevelopment.

Emanuela is ranked in Chambers & Partners since many years in Band 3 for Real Estate with the comment: 'Emanuela Molinaro is widely appreciated for her "practical solutions." She acts for both domestic and international clients on the full spectrum of real estate issues.'

Dr. Felix Schäfer Counsel Real Estate

Dr. Hans Felix Schäfer, Counsel in Orrick's Düsseldorf office, is a member of the Real Estate Group.

Felix has particular experience in the infrastructure and logistics sectors, where he has been focused on real estate transactions, structuring of real estate investments, fund counseling and private equity as well as restructuring of real estate financings. He has also advised on a series of diverse large scale project developments as well as (portfolio) transactions for German and international clients.

Felix previously worked at international law firms Freshfields Bruckhaus Deringer and DLA Piper UK LLP. He served as inhouse counsel with ProLogis Germany Management GmbH and spent two years with HFK Law Offices. Most recently, he was an associated partner with independent German law firm Graf von Westphalen.

Felix attended the University of Cologne, where he received his doctorate degree. He has been acknowledged as "frequently recommended" in the field of Real Estate by JUVE Handbook of German Law Firms (2012/2013) and is member of the Royal Institution of Chartered Surveyors.

Marshall Brozost is a Real Estate lawyer in Orrick’s New York office and serves as head of the New York Real Estate Group.

He focuses on complex real estate transactions on behalf of institutional and private equity investors. In addition, his practice encompasses all aspects of commercial real estate investment, from purchases and sales, formation of joint ventures and real estate funds to mortgage and mezzanine financing, REIT structuring, workouts and leasing. His clients include State Street Global Advisors, Phoenix Realty Group, Arel Capital and The Praedium Group, as well as other real estate private equity funds, investment advisers, domestic and foreign institutional investors, lenders and developers. He also advises on CMBS and merger and acquisition transactions.

Marshall is recognized for his real estate and finance work in Legal 500 and described by clients as “exceptional” in the field.

Marshall previously was a partner at Schulte Roth & Zabel LLP and Dewey & LeBoeuf LLP.

Amaury de Feydeau Partner Banking & Finance, Structured Finance

Amaury de Feydeau is a Banking & Finance lawyer based in Orrick's Paris office with a particular focus on project finance, real estate finance, structured finance and restructuring.

He advises arrangers and sponsors on complex infrastructure, PPP, concessions and property portfolio financing transactions, in France and abroad. Amaury is recognized as a leading lawyer in France. According to Chambers & Partners, clients describe him as “creative and a real solution-finder”. He regularly participates in the drafting of complex agreements for the financings of public facilities, notably public buildings and infrastructure, renewable energy projects, power plants and telecom grids. Recently, he has represented Allianz Global Investors, Bayern LB, BTMU and HSBC in the financing of the Cité Musicale on Seguin Island (Paris) which won the MIPIM Award 2015 for Best Futura Project and was the first PPP financed using securitization in France.

Amaury has also a substantial experience in real estate which includes the financing of a variety of complex French and pan-European portfolios and their restructuring. He advises on the financing of the acquisition or the construction and rehabilitation of offices, hotels and commercial buildings, as well as their securitization aspects and restructuring. He has represented arrangers and sponsors such as Benson Eliot, Blackstone, BNP Paribas, Citigroup, Colony, Deutsche Bank AG, Foncière Euris, EuroHypo, HSBC France, Lone Star, Metrovacesa, Natixis, RREEF, SEB, Société Générale, RBS and Westbrook.

Amaury joined Orrick in 2007, after four years with the Real Estate and Finance departments of Freshfields Bruckhaus Deringer.

Amaury de Feydeau is also a visiting lecturer at the business school HEC in Real Estate Finance.

Carine Mou Si Yan is a member of the firm’s Banking & Finance Group, based in Paris.

Dual-qualified in Paris and New York, Carine counsels on French and cross-border banking and finance transactions, including the financing and refinancing aspects of restructuring transactions and real estate finance.

Carine has been involved in numerous restructuring transactions, ranging from small but complex to major restructurings. She advises both debtors and creditors in numerous industry sectors, such as construction, heavy industry, paper, transportation, energy distribution network, hospitality, food retail and real estate.

She also has deep experience in real estate finance with respect to a wide range of real estate assets, such as commercial, office, logistics, hotels and infrastructure properties, acting for borrowers and lenders, whether credit institutions or alternative fund providers.

  • Представление интересов Группы «Промышленные инвесторы» в сделке по продаже Группе «Сумма» пакета акций ОАО «Дальневосточное морское пароходство», российской компании, акции которой размещены на фондовой бирже, включая 180 дочерних компаний в ряде стран по всему миру. Сумма сделки не разглашалась, но значительно превышала 1 млрд. долларов США.
  • Представление интересов Hines, крупнейшей американской девелоперской компании, управляющей недвижимостью по всему миру общей стоимостью более 20 млрд. долларов США, в сделке по продаже российской инвестиционной группе O1 Properties одного из самых престижных бизнес-центров инвестиционной категории в России «Дукат Плейс III» за 370 миллионов долларов США. Сделка была признана сделкой № 1 в сфере недвижимости в России в первой половине 2012 года.

  • Представление «фонда фондов» в сделке, связанной с инвестированием, финансированием и приобретением фонда прямого инвестирования в Люксембурге, а также сети из 9 крупных гостиниц класса люкс (с общим размером номерного фонда в 3.500 комнат) на болгарском побережье Черного моря.
  • Представление интересов «Сбербанка» в сделке по приобретению бизнеса, осуществляющего обеспечение электронного документооборота, в России и Финляндии с целью развития системы электронных платежей «Сбербанка» на территории России (проект E-invoicing). Представление интересов «Сбербанк Капитал» в сделке по приобретению контрольного пакета акций одного из крупнейших металлургических заводов.
  • Осуществление юридического сопровождения сделок, охватывающих практически все порты в России и порт на территории Украины. Представление интересов ОАО «Дальневосточное морское пароходство» (FESCO) в 2006-2007 гг. в сделке по приобретению 50% акций «Национальной контейнерной компании» за 370 млн. долларов США и последующей продаже этого же пакета акций в 2010 г. по цене 900 млн. долларов США. Представление интересов FESCO в сделке по приобретению контрольного пакета акций морского порта Владивостока.
  • Большое количество престижных сделок с недвижимостью в России на миллиарды долларов США. Представление интересов London & Regional Properties, британского инвестиционного фонда, в сделках по продаже основных объектов недвижимости фонда в России за сумму около 500 млн. долларов США, получивших известность благодаря удачному завершению прямо перед финансовым кризисом 2008 года. Представление интересов девелопера «Белая Дача» в проекте Lakeside по созданию совместного предприятия с Hines для строительства мультифункционального комплекса общей площадью 120 га. Участие в продаже комплекса «Покровские Холмы», «западного» поселка из 207 коттеджей, который известен англо-американской школой и частично арендован Посольством США для дипломатов.
  • Представление интересов FESCO в проекте, связанном с инвестициями в США, включая приобретение в процессе банкротства авиационного завода, в том числе получение разрешения Госдепартамента США (CIFIUS).
