Camila is a New York and England & Wales qualified attorney, with experience in a broad range of cross-border transactions, including capital market transactions, equity and debt private placements and private and public mergers and acquisitions.

Camila frequently advices companies and institutional investors on structuring and executing initial public offerings and special purpose acquisition company (SPAC) transactions. Camila also provides strategic advice on corporate governance and cross-border securities regulation, including public takeovers, debt financing for private and public companies, and corporate restructurings.

As a native Spanish speaker, Camila also has a breadth of experience in corporate transactions involving Latin American companies.

    • Advised a life sciences foreign private issuer listed on Nasdaq on its $3.32 million registered direct offering.
    • Advised VINCI Airports on U.S. securities law matters related to its $1.17 billion acquisition of 29.99% of Grupo Aeroportuario Centro Norte.
    • Advised a life sciences foreign private issuer, dual-listed on the London Stock Exchange and Nasdaq, on its follow-on equity raise.
    • Advised the board of directors of a foreign private issuer listed on Nasdaq.
    • Advised investors in a private investment in public equity (PIPE) transaction involving a foreign private issuer listed on NYSE.
    • Advised various debtholders on U.S. securities law matters related to the debt restructuring of public companies.
    • Advised investors and underwriters in connection with various SPAC and PIPE transactions.
    • Advised institutional investors in various private placements of secured and unsecured senior notes issued by companies and, when applicable, affiliates, subsidiaries and collateral based in Central and South America, the Caribbean, U.S. and Europe. The companies include those in the aerospace, energy, pharmaceutical, agricultural and tourism industries.
    • Six-month secondment at a private equity firm in the secondaries market.
    • Advised investors and companies on U.S. securities law matters involving cross-border public merger and acquisition transactions.
    • Advised a company on a $1.5 billion Eurobond offering listed on the London Stock Exchange.
    • Advised underwriters on a $3 billion sovereign bond offering.
    • Advised a company in the orthopedic industry on a high yield bond offering of €275 million.
