Orrick Advises on Ally Financial’s $750 Million Debt Offering

Orrick represented the underwriters in digital financial-services company Ally Financial’s offering of $750 million aggregate principal amount of its 7.1% senior notes due 2027.

Citigroup, Goldman Sachs & Co. LLC, J.P. Morgan and RBC Capital Markets acted as joint book-running managers for the offering. Lloyds Securities, Raymond James, US Bancorp, Academy Securities, Blaylock Van, LLC, Multi-Bank Securities, Inc., R. Seelaus & Co., LLC and Ramirez & Co., Inc. acted as co-managers. The offering closed on November 15, 2022.

Orrick has acted as designated underwriters’ counsel for Ally’s unsecured notes program since 2019, during which time Ally has offered and sold $5.75 billion aggregate principal amount of senior notes.
