Private Investment Fund Formation

Our private investment funds practice advises on all stages of fund formation, from negotiating terms and developing marketing strategy, negotiating with placement agents, drafting fund and sponsor documents, negotiating with investors, and providing advice on internal sponsor and management company arrangements.


Our global finance team represents alternative credit funds and other special situation lenders, private equity sponsors and banks in leveraged financings for acquisitions, buyouts, restructurings, syndicated credit facilities and in debt capital markets transactions.  Members of our international team have pioneered the introduction of unitranche transactions to Europe.

Distressed Assets and Restructuring

Our restructuring lawyers assist private equity funds, alternative investors and commercial and investment banks on complex restructurings and financing transactions, including acquisitions, dispositions, debt/capital restructurings and alternative investments.  We also represent secured lenders in the restructuring of financial products to limit bankruptcy and commercial risks and assist buyers and sellers of distressed loans and claims.
