John Harrison is a Partner in the Technology Companies Group and advises high growth technology companies and venture capital firms in VC financings, M&A, corporate governance, IPOs and corporate and securities law matters.

Prior to joining Orrick in 2017, John was a senior associate in the corporate law practice of Latham & Watkins in Silicon Valley.

    • Represented Stripe in its Series D through Series I financings, raising over $8.5 billion, as well as numerous venture/strategic investments by Stripe in startups (Monzo, Step Mobile, Check, Rapyd, Fast, Pico, Pilot, Cuenca, PayMongo, Assembled, Accord, Ramp and TrueLayer), third-party tender offers (liquidity programs), secondaries, acquisitions, corporate governance and strategic matters.
    • Represented Solugen in its $200 million Series D financing at a more than $2 billion valuation led by Kinnevik, Lowercarbon and Refactor, its $357 million Series C financing led by Baillie Gifford and GIC, its $30 million Series B-1 financing, its $32 million Series B financing led by Founders Fund and debt financings.
    • Represented Coda in its $100 million Series D financing at a $1.4 billion valuation led by OTPPB, its $80 million Series C financing led by Kleiner Perkins, and its Series B financing and convertible note bridge round.
    • Represented Weights & Biases in its $50 million equity financing led by Nat Friedman and Daniel Gross.
    • Represented Diamond Foundry in its $200 million Series C financing at a $1.8 billion valuation led by Fidelity.
    • Represented Arta Finance in its $90 million in equity financing raised from Sequoia Capital India, Ribbit Capital, Coatue and over 140 prominent angels.
    • Represented Gather in its $50 million Series B financing led by Sequoia and Index, and its $26 million Series A financing.
    • Represented Assembled in its $51 million Series B financing led by NEA, and its $16.6 million Series A financing led by Emergence.

    • Represented Nuvocargo in its $20.5 million Series A financing at a $180 million valuation led by Tiger Global.
    • Represented Keen Technologies in its $20 million financing round with participation from Nat Friedman, Daniel Gross, Patrick Collison, Tobi Lütke and Sequoia, among other investors.
    • Represented MarqVision in its $20 million Series A financing co-led by DST and Atinum Investments, with participation from Softbank and Y Combinator.
    • Represented PostHog in its $15 million Series B financing and $12 million Series A financing led by Y Combinator and GV, respectively.
    • Represented PostEra in its $24 million Series A financing led by Clermont Group, and initial NIH grant funding of $68 million.

    • Represented Second Spectrum in sale of the company to Genius Sports for $200 million.
    • Represented Arcus FI in sale of the company to Mastercard.
    • Represented Intuit in acquisitions of Check (for $360 million), CustomerLink, Full Slate and Level Up Analytics, and sale of Demandforce to Internet Brands.
    • Represented Kythera Biopharmaceuticals in sale to Allergan for $2.1 billion.
    • Represented Sorin in $2.7 billion cross-border merger with Cyberonics.
    • Represented Ulthera in sale to Merz Pharma for $600 million and its acquisition of Cabochon Aesthetics.
