David Ruff, a partner in Orrick’s New York office, is a member of the firm's M&A and Private Equity Group. 

David advises private equity funds, their portfolio companies and a broad range of public and private technology, energy and life sciences companies in domestic and cross-border M&A, minority and majority investments, joint ventures and other complex transactions. David also counsels domestic and international issuers in public offerings of equity securities and SEC compliance matters.

    • Macquarie Infrastructure and Real Assets in connection with the sale of a portfolio of maritime port assets.

    • LINTEC Corporation, a manufacturer of adhesive-related products, in its $375 million acquisition of MACtac Americas.
    • Woolrich, Inc., a manufacturer of outdoor lifestyle apparel, in its merger with Woolrich Europe.
    • Aptean, Inc., a provider of industry-focused enterprise software solutions,in its acquisitions of GQ Life Sciences, AssetPoint and Computron Software.
    • Par Pharmaceutical, Inc. in its $410 million acquisition of Anchen Pharmaceuticals.
    • Sigma-Tau Pharmaceuticals, Inc. in its $327 million acquisition of the specialty products division of Enzon Pharmaceuticals, Inc.
    • LivePerson, Inc., a provider of mobile and online messaging, in its acquisition of Amadesa, an Israeli technology company.
    • Goldman, Sachs & Co., Deutsche Bank Securities, Jefferies, Canaccord Genuity, Piper Jaffray and Raymond James, as underwriter’s counsel, in the $83.9 million follow-on offering of Benefitfocus, Inc., a provider of cloud-based benefits software solutions for consumers, employers, insurance carriers, and brokers.
    • Shutterstock, Inc., a global provider of licensed photographs and other media, in its $88 million initial public offering and listing on the New York Stock Exchange.
    • SodaStream International Ltd., a manufacturer and distributor of sparkling water makers, in its $125 million initial public offering and listing on Nasdaq and subsequent $300 million follow-on public offering.
    • Sequans Communications S.A., a designer, developer and supplier of semiconductor solutions for the wireless broadband market,in a shelf offering of American Depositary Shares listed on the New York Stock Exchange.
