Dennis Martin is a lawyer with our Real Estate Group. He formerly served as Chair of the global Real Estate Group and Co-Head of Orrick’s global Finance Business Unit, which includes its Real Estate, Banking and Finance, Public Finance, Restructuring and Structured Finance practice groups.

 Mr. Martin has significant cross-border experience, as he was based in Tokyo for seven years, starting in January 1997. Mr. Martin focuses his practice on a variety of real estate and structured finance-related transactions, representing multiple types of clients, including opportunity funds, investment banks, financial institutions, developers, high net-worth individuals, insurance companies, pension funds, pension fund advisors, fund managers, loan servicers and charitable organizations.

Mr. Martin has experience drafting documentation for and negotiating:

  • Mr. Martin previously practiced in the real estate, project finance and real estate finance groups in the Tokyo and San Francisco offices of Morrison & Foerster LLP and in the Los Angeles office of Sheppard Mullin Richter & Hampton LLP.

  • A sample of Dennis's more notable engagements includes:

    • Primary relationship partner for Westbrook Partners, a real estate opportunity fund manager investing on behalf of multiple funds in the United States, Europe and Japan, in transactions totaling in excess of $2 billion, including acquisitions, joint ventures, financings and re-financings for office, retail, hotel, residential and development land properties located in California and Japan.
    • Representation of the arranger of a $425 million straight-to-capital-markets loan origination/CMBS securitization secured by the New York Four Seasons, Santa Barbara Four Seasons Biltmore, San Ysidro Ranch, Las Ventanas and Kona Village properties.
    • Primary relationship partner for AMB Property, L.P., global developer and owner of industrial real estate throughout North America, Europe and Asia, in connection with over $1 billion of financing transactions in Japan and Europe, including (i) a secured/unsecured corporate revolving credit facility for its regional subsidiaries’ investments in Asia, (ii) two separate development bridge/mini-permanent loans taken out by its regional subsidiaries and secured by industrial warehouse properties in Amagasaki and Ohta, Japan, which assets were contributed to AMB Japan Fund I, (iii) a revolving credit facility extended to AMB Japan Fund I secured by subscription commitments of the fund investors, (iv) a bank guarantee/letter of credit facility for European investments by its European subsidiaries and (v) a Euroyen notes private placement by its Japanese subsidiary.
    • Primary relationship partner for Credit Suisse, Deutsche Bank, GMACCM, Lehman Brothers and Morgan Stanley in connection with over $6 billion of permanent and mezzanine loans secured by real estate, subperforming loans and nonperforming loans, including the development of the first mezzanine loan program for Western lenders in Japan.
    • Primary relationship partner for originators, arrangers and issuers in over 20 commercial and residential mortgage-backed securitizations in Japan in the aggregate issuance amount of more than $7 billion.
