William Wilson practices in our Cyber, Privacy & Data Innovation practice, where he focuses on data privacy and technology transactions. William is certified as an Information Privacy Professional (CIPP/US) by the International Association of Privacy Professionals.


William’s experience includes counseling clients on data privacy and security issues, including privacy issues in M&A and technology transactions and compliance with privacy laws, regulations, and industry standards. William also drafts and negotiates complex technology and intellectual property agreements, such as bank technology outsourcing, payment systems, supply and distribution, development and integration, software as a service, and other internet- and technology-related agreements.

Before working at Orrick, William was an associate at another West Coast-based law firm where he completed a secondment with a large technology provider, overseeing a broad range of technology and intellectual property transactions. Prior to law school, William worked at Creative Artists Agency (CAA).

    • Structured and drafted electronic health records (EHR) sublicense for university research hospital.
    • Represented large software-as-a-service provider in numerous technology transactions, and advised on issues related to intellectual property.
    • Drafted and revised payment processing software and services agreements for Fortune 500 retailer.
    • Represented multiple banks in core processing outsourcing transactions.
    • Drafted and advised clients on cleanroom software development procedures.
    • Performed information technology and intellectual property due diligence reviews for mergers & acquisitions ranging from $5 million to $1.25 billion.
    • Provided counsel to private equity firms and start-ups regarding technology transfer issues.
    • Advised clients on international data protection requirements, including the EU General Data Protection Regulation and developing mechanisms to comply with cross-Atlantic data transfer requirements.
    • Advised clients in all aspects of data security incident response, including investigation and preparation of required notifications pursuant to state breach notification laws.
    • Provided counsel to nanotechnology startup in acquiring patents from a major research university.
