Michael Arena is an Associate based in Orrick's Sacramento office and a member of the Public Finance Group with experience advising both public and private entities in domestic and international capital markets transactions.

Michael has served as bond counsel, underwriter’s counsel and issuer's counsel on tax-exempt and taxable financings. Since joining Orrick in 2017, Michael has worked in both the transportation and healthcare sectors, and participated in fixed and variable rate financings, advanced refundings, and numerous post-issuance modifications to the terms and structure of outstanding debt obligations.

Prior to joining Orrick, Michael advised issuers and underwriters on registered and Rule 144A / Reg. S equity and debt securities offerings, including: initial public offerings, private placements, listed trades, block trades, issuances of American depositary shares, senior and subordinated notes, medium-term notes, rights, warrants, high-yield bonds, and sovereign bonds. As issuer’s and regulatory counsel, Michael represented major financial institutions, including U.S., European and Indian banks, on capital issuances and cross-border compliance matters. As disclosure counsel, Michael has also advised registered U.S. companies on their financial reporting obligations and ongoing filings with the Securities and Exchange Commission.
