Senior Associate


Mason is a Senior Associate in Orrick's Houston office. He represents clients in the acquisition, development, financing and disposition of energy projects across the United States.

Mason represents clients in a variety of energy transactions, including project development, mergers, acquisitions, joint ventures and financings. His work in these transactions includes drafting purchase and sale agreements and complex commercial agreements, as well as managing teams of associates in the completion of diligence and other matters.

Mason has a particular focus on real property matters, both in the context of energy project acquisition and development and in more traditional real estate transactions. Mason’s real estate experience includes negotiating site control, title insurance policies and surveys for energy projects, structuring shared facilities arrangements, and coordinating a wide variety of title curative work.

    • A utility in the acquisition and development of ten wind projects across the United States, totaling over 2,000 MW.
    • A developer of the world's largest post-combustion industrial scale carbon capture and sequestration project.
    • Multiple developers in Texas, California, and New York in the structuring of the real property rights for their wind and solar projects.
    • A developer in the structuring and negotiation of site control for several solar energy projects throughout Texas.
    • A energy-focused private equity firm in the development of multiple midstream pipeline system.
    • Multiple private equity firms and investment funds in the evaluation of the real estate rights of target wind, solar, oil, gas, traditional power, and geothermal energy projects.
    • Multiple purchasers of industrial buildings in Texas.

    Mergers, Acquisitions, Joint Ventures and Project Finance

    Mason has represented:

    • The sponsor in the sale of an up to 2,000 MW wind project located in Oklahoma.
    • A major oil and gas company in the development and implementation of a worldwide joint venture.
    • An energy-focused private equity firm in the acquisition of two a natural gas storage facilities in the Southeastern United States.
    • An energy-focused private equity firm in the acquisition of a midstream pipeline system in North Dakota.
    • A developer in the sale of a portfolio of early-stage wind projects totaling 1,250 MW throughout the United States.
    • NOVA Chemicals in the $2.1 billion acquisition of an operating interest in an olefins plant in Louisiana.
    • Delek Logistics Partners, LP (NYSE) with multiple contributions of assets from affiliates of its general partner and related pipeline and storage agreements.
    • A non-profit lending institution in the financing of a residential rooftop solar initiative in Washington, D.C.
