  • Advised Primary Wave, a private music publishing company and investment management firm, in a strategic partnership with Brookfield Asset Management valued in excess of $2 billion.
  • Advised International Media Investments (IMI) in its partnership with RedBird Capital Partners and former CNN and NBC Universal CEO Jeff Zucker to create RedBird IMI, a joint venture investment vehicle focused on investing in large scale media, entertainment and sports content properties.
  • Advised  Luz del Sur, Peru’s largest electricity distributor, in the acquisition of two power plants from Japanese trading conglomerate Sojitz for $133 million.
  • Advised vLex, a cloud-based legal information platform and portfolio company of Oakley Capital, the pan-European private equity investor, in its acquisition of Fastcase, a leading U.S. legal intelligence business.
  • Advised Glenfarne Group and its subsidiary EnfraGen in the acquisition of six assets in Panama and Costa Rica with a combined capacity of 188 megawatts of renewable energy from Grupo Argos subsidiary, Celsia S.A., a Colombian electricity company focused on renewable energies and energy efficiency.
  • Advised Prudential Financial, Inc. in the sale of Prudential Seguros S.A., its Argentine life and health insurance subsidiary, to Grupo ST S.A., an Argentine financial services holding group.
  • Advised Marubeni Corporation in connection with a significant minority investment by Marubeni Corporation and Lithia & Driveway in Wheels, a leading fleet management company in North America, offering leasing, financing, maintenance, and support services for more than 800,000 vehicles.
  • Represented Artex, an alternative risk and capital solutions subsidiary of Arthur J. Gallagher & Co., in its acquisition of RIBV Holdings, LLC, which specializes in outsourced risk management and employee benefits advisory services for private equity and corporate clients across the U.S.
  • Advised privately held independent power producer Caithness Energy in an agreement to sell its Moxie Freedom Energy Center in Pennsylvania and Caithness Energy and BlackRock’s Guernsey Power Station in Ohio to Talen Energy Corporation (NASDAQ: TLN), a leading independent power producer, for $3.8 billion.
  • Advised privately held independent power producer Caithness Energy in an agreement to sell its Caithness Long Island Energy Center, a highly efficient 365 MW natural gas fired power generation asset, to Lotus Infrastructure Partners/
  • Advised Vector Capital Management, a private equity firm with a nearly three-decade track record leading transformational investments in established technology businesses, in an agreement to lead a growth buyout of SingleStore Inc., the leading data platform for enterprise AI.
  • Advised STG, a private equity partner to market-leading companies in data, software and analytics, in connection with the merger of CAI Software and Print ePS and the establishment of the ePS Packaging division of eProductivity Software as an independent software company.
  • Advised Glenfarne Asset Company on its $865 million acquisition of a portfolio of solar and battery energy storage system (BESS) assets,  with a combined capacity of 909 MW, comprised of 588 MW of operating solar and associated BESS facilities with a capacity of 1.61GWh (321 MW equivalent), in Chile from Metlen Energy & Metals. 
  • Advised Vector Capital Management L.P., a leading private equity firm specializing in technology investments, on a definitive agreement to acquire Corel Corporation’s portfolio of creativity and productivity software and related brands.
  • Represented dss+, a leading provider of specialist operations management consulting services, in its acquisition of Lauras International USA, a Chicago-based operations consulting firm specializing in rapid, sustainable productivity improvements.
  • Advised Keensight Capital, one of the leading European growth buyout firms, in its platform acquisition of Isto Group Inc., a regenerative MedTech company developing and manufacturing orthobiologic products to help patients heal faster.
  • Advised SiriusPoint Ltd. (NYSE: SPNT) on its agreement to sell ArmadaCorp Capital LLC, the holding company of SiriusPoint’s wholly owned supplemental health insurance program manager, ArmadaCare, to a subsidiary of Ambac Financial Group Inc. for $250 million.
  • Advised 2PointZero Group in connection with human performance company WHOOP’s $575 million Series G funding round, which brought HOOP’s valuation to $10.1 billion.
  • Advised Glenfarne Asset Company, LLC in an agreement to acquire a portfolio of solar and battery energy storage system (BESS) assets in Chile from Metlen Energy & Metals.
