Jeff has over a decade of experience in the area of public finance, representing issuers, underwriters, investors, lenders and borrowers in a variety of transactions including financings for multifamily and single family housing, fuel and fertilizer facilities, educational institutions, healthcare facilities, ports and municipal general obligation debt. Jeff's transactions have included tax-exempt and taxable, fixed and variable rate debt, revenue bonds, direct purchases/private placements, commercial paper, securitizations and project financing.
Jeff's representative engagements include:
Housing. Jeff serves as bond counsel and disclosure counsel to the New York State Housing Finance Agency and as bond counsel to the District of Columbia Housing Finance Agency.
Jeff serves as underwriters’ counsel in connection with the New York City Housing Development Corporation’s Multi-Family Housing Revenue Bond (i.e., “Open Resolution”) program. Prior to joining Orrick in 2015, Jeff served as bond counsel to HDC while at Hawkins Delafield & Wood LLP. Jeff has also served as underwriter’s counsel in connection with public offering and private placements by MassHousing, the Montana Board of Housing, the Utah Housing Corporation and the Colorado Housing and Finance Authority.
Jeff assisted with the issuance by a national real estate developer of taxable corporate debt to finance a portion of the costs of constructing a 550-unit luxury apartment tower in San Francisco.
Jeff advised the mezzanine lender in connection with the financing of a portion of a multi-building multifamily housing complex, also located in San Francisco.
Jeff has represented the direct purchasers of bonds on several multifamily housing financings, ensuring that programmatic requirements of the purchasers are satisfied and that the terms of the financing agreed to between the purchaser and the developer are reflected.
Renewables, Fuels and Fertilizer Facilities. Jeff has represented the developer of a nitrogen fertilizer plant located in Iowa and a methanol facility located in Texas. The representative work included both initial bond financing and the refinancing of existing debt, as well as other corporate borrowings. Jeff has also acted as underwriter's counsel in connection with the financing of an ethanol biorefinery in North Dakota.
The Port Authority of New York and New Jersey. Jeff is a member of the Orrick team representing the Port Authority as bond counsel and disclosure counsel.
Restructuring. Jeff was a member of the Orrick team advising a senior creditor in the exit financing of a publicly financed hotel and convention center in Lombard, Illinois.
Healthcare. Jeff has served as bond counsel to the Mississippi Hospital Equipment and Facilities Authority.
Education. Jeff has served as counsel to private schools located in New York City in connection with public and private borrowings.
