Francis advises clients on cross-border and domestic transactions, specialising in venture capital and mergers and acquisitions.

Francis regularly acts for intellectual property rich, data-led and regulated technology companies, as well as companies and investors in the life sciences, media, and food and drink sectors. He has experience advising on fundraisings, joint ventures, company restructures, private equity and general corporate advisory matters.

Prior to joining Orrick, Francis trained and worked at a major international law firm, during which he was seconded to Btomorrow Ventures as legal counsel.

  • Venture Capital

    • Acted for a UK-based venture capital fund on its lead investment as part of a CAD$20 million Series B investment in a high-growth technology company.
    • Acted for Japanese company Glory Ltd on its Series A investment in OneBanks, a Scotland-based fintech company based in the UK.
    • Acted for Sony Pictures Televisions on a minority equity investment in The Whisper Group, a UK based broadcast production agency.
    • Acted for a UK-based venture capital fund on its lead investment as part of a €1.4 million investment in a high-definition haptics technology company.
    • Acted for an on-demand fuelling service company on its Seed financing from angel investors.
    • Acted for Btomorrow Ventures Limited on its Series A investment in Unrooted, a company that produces functional super shots.
    • Acted for Circle UP Growth Partners on its lead investment as part of a US$3 million Series A investment in Three Spirits.

    Mergers and Acquisitions

    • Acted for Glory Global Solutions on a $223 million investment in Acrelec, a French developer of interactive kiosk solutions for major brands including McDonald’s, Burger King, KFC, Walmart and Carrefour.
    • Acted for a US private equity fund on the proposed acquisition of Selerant Srl.
    • Acted for Cumming Europe Limited on its acquisitions of a number of project management and construction consultant companies.
    • Advised US artist and digital content creator, Stevin John, on the sale of Blippi's YouTube channels, video content and merchandise to Moonbug Entertainment.
    • Acted for Bushell Investment Group on its takeover of Bira Bank, a UK-based bank run by the British Independent Retailers Association.
    • Acted for EQTEC plc's acquisition of an energy-from-waste facility site for re-permitting and development.
    • Acted for Accenture in its acquisition and reorganisation of financial management and consultants, Happen Group.
