  Offtake and Procurement

  • Advised NYSERDA:
    • Drafted competitive award and negotiation of multi-billion-dollar offtake contracts for utility-scale offshore and onshore wind, solar, hydroelectric, nuclear, transmission and energy storage projects.
    • Led contract negotiations and competitive award processes for multi-billion-dollar offshore wind procurements and port investment projects.
    • Negotiated amendments to offtake contracts with New York’s nuclear generation facilities to ensure ratepayers benefit from federal support for nuclear facilities.
    • Negotiated multibillion dollar agreements for delivery of renewable energy to New York City via new high-voltage direct transmission facilities.
    • Managed contract negotiations and other engagements with utilities and load-serving entities regarding REC and other energy attribute purchases.
    • Implemented process improvements to competitive procurement and contracting processes, streamlinng negotiations and reducing attrition.
  • Advised an integrated gas-to-power company on all phases of development, contracting and implementation, including offtake agreements, permitting, EPC, energy supply and hedging, vessel charters and operations, for major energy infrastructure projects including power and floating and onshore regasification facilities across multiple international jurisdictions.

  Project Development and Finance

  • Advised an integrated gas-to-power company in structuring, negotiating and closing billions of dollars in secured bonds and term loans across multiple jurisdictions, including corporate and project financings.
  • Advised multiple companies in their multibillion financings of LNG liquefaction facilities, including loan, security and account control and interest rate hedging arrangements.
  • Advised a mining company on a mining project restructuring, drafting and negotiating investment and governance agreements with a government counterparty.
  • Advised the initial purchasers in an offering of senior secured notes to finance the acquisition and leaseback of state-owned oil & gas infrastructure.

  Mergers & Acquisitions

  • Advised an integrated gas-to-power company on the acquisition of a major international LNG terminal project and on negotiations and drafting of hydrogen sector investments.
  • Advised numerous companies on competitive bids for ownership of foreign companies and assets in the power sector and other industries, including drafting purchase agreements and ancillary documents and advising on transaction structures.
