Jennifer M. Taylor

Counsel

Miami

Jennifer M. Taylor, based in Miami, is a member of Orrick's Employment Law practice. She advises technology, healthcare and financial services companies, as well as private equity sponsors and strategic acquirers, on a full range of corporate transactions. Jennifer's combined Big Law and public company in-house experience positions her to deliver clients practical, innovative solutions across the corporate lifecycle.

Jennifer's practice focuses on advising buyers, sellers, private equity sponsors and portfolio companies on the employment aspects of a broad range of corporate transactions. She guides clients through the employment law issues that arise at every stage of a deal, including mergers, stock and asset acquisitions, divestitures and carve-outs, spin-offs, joint ventures and minority investments. Jennifer advises companies of every size, from early-stage startups to public companies. Clients count on her to spot employment risks early, to align deal terms with the client's workforce strategy and business objectives and to integrate the workforce smoothly after closing. Jennifer has handled hundreds of transactions in industries including technology, life sciences, healthcare, manufacturing, financial services and consumer products. She works closely with Orrick's M&A, private equity, executive compensation, benefits and tax lawyers to give clients integrated advice from letter of intent through post-closing integration.

In addition to her transactional practice, Jennifer is a trusted advisor to companies at every stage of growth. She counsels clients on the full range of employment issues that come up in day-to-day operations. These include hiring and onboarding, employment agreements and offer letters, restrictive covenants and trade secret protection, wage and hour compliance and worker classification, leave and accommodation obligations, workplace investigations, discipline and terminations, reductions in force and the development of handbooks and policies. Jennifer has practiced at a large law firm and served as in-house counsel at a public company. That combination gives her a clear view of how legal advice is received and carried out inside a business and a strong sense of what boards, executives and HR leaders need to make sound decisions quickly. She focuses on finding legal solutions that support and advance her clients' business goals rather than simply pointing out obstacles. Her guidance balances legal requirements with practical business considerations, so clients can manage risk, avoid disputes and keep operations running smoothly as their organizations grow and chang on the full range of employment issues that arise in daily operations.

Prior to joining Orrick, Jennifer worked as Associate General Counsel for a publicly-traded Fortune 500 company and was a partner at three AMLaw 100 firms.

  • Outside the practice of law, Jennifer's community involvement includes serving on the Board of Directors for Big Brothers Big Sisters of Miami.
